About the role:

This Senior Corporate Counsel position plays a significant role in leading contract negotiations and providing strategic commercial advisory support across diverse categories within our organization. Significantly contributes to the organization's vendor and supplier contracting effectiveness, advising on matters related to contract structure, commercial terms, and risk allocation. Achieves operational targets regarding identifying, assessing, and mitigating contractual and commercial risks associated with business operations, vendor relationships, and regulatory dynamics.

What you will be doing:
• Conducts complex contract research and commercial analysis, utilizing advanced experience to provide data-driven negotiation strategies while staying current with evolving market conditions, regulatory requirements, and industry contracting standards.
• Leads complex supplier and vendor contract negotiations with a focus on favorable commercial terms and risk mitigation, coordinating with internal stakeholders to align business requirements, and drafting precise contractual language to support sound commercial outcomes.
• Achieves comprehensive contract management operational targets, utilizing advanced experience to navigate agreement lifecycles, renewal negotiations, and the enforcement of contractual obligations.
• Forecasts potential risks through reviews of supplier agreements, statements of work, and purchase contracts, and mitigates potential risks through precise amendments, fallback provisions, and escalation protocols.
• Implements contract standards and playbooks to ensure procurement agreements align with regulatory requirements, company policies, and business needs.
• Provides guidance, coaching, and training to other employees within the job areas. Significantly contributes to contracting best practices, advising business units on commercial terms, negotiation strategy, and regulatory considerations to ensure robust adherence to applicable policies and regulations.

• Demonstrated ability to build trusted relationships, influence difficult stakeholders, and drive accountability across multiple levels of the organization through effective communication, collaboration, and data-driven insights.
• Juris Doctor (JD) required; business, economics, finance, supply chain, or related undergraduate studies preferred.
• Excellent written and oral communication skills required.
• This position typically requires 5-7 years of relevant experience in procurement, strategic sourcing, or supply chain management.
