Job Description

As a member of the Legal team, reporting to the Vice President of Legal and Assistant Corporate Secretary, you will serve as a primary attorney for UL Solutions' corporate and business leadership. A Counsel acts as a trusted legal advisor and provides legal counseling and advice on matters of significant legal impact to UL Solutions, including in respect of securities, public company corporate governance and executive compensation.

Responsibilities

  • Advise business partners, corporate functions and senior leadership on securities law matters, corporate governance, corporate restructuring and executive compensation.
  • Review and draft SEC filings and investor materials and collaborate with Investor Relations, Accounting, Finance and Communications regarding the same.
  • Work with the Corporate Secretary and Assistant Corporate Secretary in the coordination and administration of key facets of UL Solutions' Board and Committee meetings, including the preparation of materials and working with senior leadership to finalize their materials.
  • Participate in special projects furthering the strategic goals and initiatives of UL Solutions.
  • Assist in developing, refining and overseeing policies, processes, and organizational controls to ensure UL Solutions' compliance with applicable laws and regulations around the globe.
  • Support UL Solutions Legal with respect to strategic initiatives and M&A transactions. Consult and coordinate with other UL Solutions attorneys, as well as external counsel, as appropriate.
  • Read and follow the UL Solutions Standards of Business Conduct, and follow all physical and digital security practices.
  • Partner with, and oversee execution of directives from, the Vice President of Legal and Assistant Corporate Secretary.
  • Perform other duties as directed.


Qualifications

  • JD from a top-tier law school and bar admission plus generally 5+ years relevant experience at a law firm and/or fast-paced and innovative global business operations environment
  • Extensive experience working on securities law matters, including drafting and reviewing SEC filings
  • Extensive experience advising clients and corporate governance matters
  • Extensive experience working in a team environment and collaborating with others to address complex legal and business issues
  • Experience in corporate restructuring, financing and/or M&A matters preferred
  • Occasional travel may be required

What We Offer:

Total Rewards: We understand compensation is an important factor as you consider the next step in your career. The estimated salary range for this position is $170,000 - $190,000 and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 20% of the base salary. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (15 days), holiday including floating holidays (12 days) and sick time off (72 hours).
