Description

The Counsel is responsible for assisting in the overall management of Safe Harbor's legal department. This position plays a key role in optimizing the efficiency and coordination of legal matters for Safe Harbor. This position reports to the Associate General Counsel Legal and will work closely with the Construction & Development team.

Essential Duties and Responsibilities

§ Participate in management, policy, and business deliberations and clearly communicate how legal issues will affect business operations and recommend strategies to manage legal risk

§ Create programs to and manage capital expenditure contract management

§ Draft and review construction contracts

§ Provide legal and business input on all aspects of day-to-day operations of the real estate asset portfolio

§ Draft, review, and negotiate documents

§ Monitor compliance with internal Safe Harbor business and legal processes and policies

§ Draft, negotiate, and administer construction contracts using standard industry forms (AIA, ConsensusDocs) as well as bespoke agreements, including design-build, EPC, owner-contractor, and subcontract agreements for marina construction and capital improvement projects

§ Advise project teams on construction procurement strategies, contractor pre-qualification, competitive bidding processes, and contract award decisions to mitigate project risk

§ Identify, analyze, and manage construction-related legal risks, including change order disputes, delay and disruption claims, differing site conditions, mechanic's liens, payment bond claims, and force majeure events

§ Counsel internal stakeholders on construction-related regulatory and permitting requirements, including environmental compliance, coastal development regulations, Army Corps of Engineers permits, and applicable federal, state, and local construction codes

§ Support resolution of construction disputes through negotiation, mediation, and arbitration; coordinate with outside litigation counsel on construction defect claims, surety matters, and other contentious proceedings as needed

§ Develop and maintain construction contract templates, playbooks, and training materials; collaborate cross-functionally with project management, procurement, risk management, finance, and operations teams to promote consistent legal standards across all capital projects

Safety and Environmental Responsibilities

§ Follow SHM safety and environmental rules and complete required related training

§ Wear proper personal protective equipment as required for the task or work area

§ Report all accidents, injuries, spills and near misses immediately

Technical and Physical Requirements

§ JD with a license to practice law in the State of Texas

§ 3+ years of experience and demonstrated competency in law and experience in construction contracting

§ Have interpersonal skills to deal effectively with all business contacts

§ Professional appearance and demeanor

§ Ability to work varied hours, including weekends and holidays as needed
