Job Description

Resolver, a Kroll Company, is looking for a Corporate Counsel to provide commercial legal support to its b2b SaaS company. The individual will work closely with the sales team on complex negotiations to close deals. Corporate Counsel will work collaboratively across multiple departments to administer and reinforce privacy and cybersecurity. As a successful counsel in this role, your major responsibilities include preparing and negotiating client, vendor, product and other related agreements; providing counsel to business and technology leaders; and liaising with other internal firm services team members regarding intellectual property, technology, cyber security and privacy matters.

Responsibilities:
  • Issue Spotting & Document Review: review legal documents and identify issues related to NDAs, LOIs/MOUs, Master Services Agreements, SOWs, "software as a service" agreements in an international context.
  • Drafting: draft legal documentation based on instructions from the business
  • Negotiation: independently negotiate a variety of legal documents.
  • Legal Administration: high attention to detail as one of the few gatekeepers of legal documentation.
  • Legal Operations: assist in building and streamlining legal processes
  • Privacy: keeping up to date on privacy issues and support Director of Legal in administering Resolver's privacy and data security program
  • Compliance: Assist Director of Legal with developing, administering, and maintaining compliance filings, policies, and procedures


Requirements:

  • University/ Accredited Law School
  • Minimum 3-6 Years relevant experience
  • Experience working in a B2B environment
  • Experience in IT/Software environment highly preferred
  • Commercial: collaborating with Sales and Customers during contracting


Exposure to Privacy: how it impacts commercial contracting, particularly with parties that have global operations

  • Able to assess new, non-standard "situations" to identify legal and business issues.
  • Assertiveness: ability to say "no"; connecting with Sales and Customers; Executive presence (in the making)
  • Ambiguity: ability to navigate ambiguity and the "discomfort" of process building; knowing when to pick battles; having the judgement to know when to ask for help
  • Ability to understand organizational decision-making relationships in order to facilitate results. Shares knowledge on rules, structures, networks and raises issues to protect Resolver's brand and obligations.
  • Ability to effectively negotiate price, timing, and contractual arrangements. Demonstrates strong financial acumen, good knowledge of terms of services and effective interpersonal skills.
  • Keeps abreast of developments in all areas of the law
  • Proposes policy changes if necessary
  • Identifies gaps and proposes policy changes if necessary.
  • Works collaboratively with all team members in the company
  • Manages relationships with external counsel


Salary Range:

$145,000 - $175,000 CAD

This role will report to Chief Counsel, Americas Risk Advisory.
