Full Job Description
The Senior Counsel, Commercial role is based in New York and will play a significant role in Fireblocks' continued growth in the Americas financial markets. This role will focus on commercial contracting and will work as part of the broader legal team supporting the business globally. You will work closely with the Americas Sales and Customer Success Teams on strategic client matters. Your experience will make you a persuasive and effective advisor to both management and your clients.

You will work with business partners in a dynamic and fast-paced environment driving meaningful impact. You should be comfortable working in a technical, software development environment alongside product, security, finance, sales, and marketing professionals.

Responsibilities
  • Focus on some of our largest commercial transactions in support of our SaaS services. You will be drafting and negotiating a wide variety of contracts with the leading financial institutions of the world, including MSAs, SaaS agreements, SOWs and NDAs.
  • Own the review cycle from drafting and negotiation through closure.
  • Structure and negotiate risk allocation and regulatory compliance provisions calibrated to each transaction.
  • Use AI tools to streamline complex reviews; refine legal templates and processes; create sales training and enablement materials.
  • Identify potential risk and recommended mitigants in commercial transactions for escalation to senior leadership.
  • Partner with procurement on high-risk vendor contract reviews.
  • Support due diligence processes involving material commercial contracts.
  • Advise stakeholders on the legal risks, business strategies, and other product and regulatory issues related to commercial transactions and general operations.

Required Skills
  • 8+ years experience at a top-tier law firm and/or in-house at a technology company
  • Experience negotiating complex software or SaaS transactions
  • Background in the financial services, fintech, blockchain, cybersecurity, or crypto industries, preferred
  • J.D. or LL.B accredited from a law school, with active membership in good standing of a U.S. state bar; New York admission (or eligibility to register as in-house counsel in New York) preferred
  • Proficiency in managing competing priorities in a high-pressure environment
  • Demonstrated ability to use AI tools to create efficiencies within legal workstreams
  • Experience as a team player who enjoys partnering with cross-functional teams to solve issues and work collaboratively to generate consensus across diverse points of view
  • Fastidious attention to detail in both oral and written communications

We operate on a hybrid work model with three days per week in office, enabling our teams to benefit from face-to-face collaboration while maintaining flexibility.

It is not typical for a candidate to be hired at or near the top of the pay range and each compensation decision is dependent on each individual case. A reasonable base salary range estimate for this position is $195,000 to $240,000. The base salary is one component of the total compensation package, which for some roles may include a target bonus, a very competitive equity grant, and very generous benefits.
