Job Description

We are looking for an Associate General Counsel to provide commercial legal support to its b2b SaaS company. The individual will work closely with the sales team on complex negotiations to close deals. As a successful counsel in this role, your major responsibilities include preparing and negotiating client, vendor, product and other related agreements; providing counsel to business and technology leaders; and liaising with other internal firm services team members regarding intellectual property, technology, cyber security and privacy matters.

Day-to-day responsibilities:
  • Serve as the lead legal advisor for complex commercial transactions, independently structuring, drafting, reviewing, and negotiating a broad range of agreements, including NDAs, LOIs/MOUs, Master Services Agreements, Statements of Work, SaaS agreements, data processing agreements, reseller and partner agreements, and strategic vendor contracts across multiple jurisdictions.
  • Partner directly with senior business leaders, Sales leadership, Product, Engineering, Security, Privacy, Finance, and executive stakeholders to provide practical, risk-based legal advice that enables business growth while appropriately managing legal and commercial risk.
  • Lead negotiations involving strategic customers and enterprise accounts, balancing commercial objectives with legal, regulatory, and operational considerations while driving efficient deal execution.
  • Provide expert guidance on privacy, cybersecurity, AI, data governance, and technology-related legal issues, ensuring contractual and operational alignment with evolving global regulatory requirements.
  • Own and continuously enhance legal templates, contracting standards, playbooks, approval frameworks, and negotiation guidance to improve consistency, scalability, and efficiency across the organization.
  • Identify legal, operational, and regulatory risks proactively, recommending practical mitigation strategies and advising leadership on complex or novel issues requiring sound business judgment.
  • Partner with the Chief Counsel and cross-functional stakeholders to develop, implement, and maintain corporate policies, governance frameworks, compliance programs, and internal controls.
  • Support strategic initiatives, including new product launches, commercial offerings, partnerships, and business process changes by providing timely legal and regulatory guidance.
  • Manage relationships with outside counsel where appropriate, including oversight of legal spend, work product, and strategic advice.
  • Drive continuous improvement initiatives across the legal function by identifying opportunities to streamline processes, implement technology solutions, and improve operational effectiveness.

Essential traits:
  • Juris Doctor (JD) from an accredited law school and membership in good standing with a relevant law society or bar.
  • 10+ years of progressively responsible commercial legal experience, including significant experience supporting B2B SaaS or technology organizations.
  • Extensive experience negotiating sophisticated commercial agreements with enterprise customers in domestic and international markets.
  • Deep understanding of privacy laws, cybersecurity, data governance, and technology contracting, including their application within global commercial relationships.
  • Demonstrated ability to independently manage a high volume of complex legal matters while exercising sound legal and business judgment.
  • Strong executive presence with the ability to influence senior stakeholders and effectively communicate complex legal concepts to business audiences.
  • Proven experience building scalable legal processes, contracting frameworks, and operational improvements within a fast-paced, high-growth environment.
  • Exceptional negotiation, analytical, and risk assessment skills with the ability to identify practical solutions to complex business challenges.
  • Strong commercial acumen with an ability to balance legal risk against business objectives while maintaining a customer-focused approach.
  • Demonstrated success operating in ambiguous environments, exercising sound judgment, prioritizing effectively, and knowing when to escalate strategic issues.
  • Ability to build trusted cross-functional relationships and influence decision-making across all levels of the organization.


This role will report to Chief Counsel, Americas Risk Advisory.

Office presence:

Hybrid. Due to the highly collaborative nature of the work we do, this role will require presence in our Toronto office 1-2 days per week.
