Full Job Description
Purpose of Role

The Associate Counsel, Commercial provides legal support across a broad range of commercial and contractual matters, partnering closely with business stakeholders and members of the Commercial Legal team. This role will primarily support transactions and relationships managed by UA's Global Technology and Supply Chain teams, while also acting as a generalist across other commercial areas. The role is designed for an attorney who is eager to develop a diverse commercial skillset through hands-on involvement in a high-volume, team-oriented environment.

Your Impact

  • Support a wide variety of commercial matters, with a primary focus on technology and supply chain-related agreements.
  • Support end-to-end commercial and contract matters relating to procurement of services, technology, goods and other engagements, including technology-related agreements such as software license agreements and SaaS agreements, including agreements for tools with AI functionality; sourcing and manufacturing agreements; third-party logistics (3PL) and warehousing services agreements; transportation agreements such as air, ocean and ground carrier agreements; brokerage, customs and other import/export and trade compliance-related agreements; facilities agreements, including agreements relating to operations and equipment purchases/leases; and general procurement agreements for services, goods or other materials utilized in UA's business.
  • In cooperation with other functional leads within UA Legal, serve as a key legal support resource for Global Supply Chain matters, including projects carried out by UA's Customs, Import/Export, Trade Compliance and Sustainability teams.
  • Provide support to other members of the Commercial Legal team on ad hoc matters, special projects and overflow work as business needs evolve.
  • Collaborate with business teammates from all areas of the company and all regions with a range of seniority, subject matter experts, risk associates, leadership, and outside counsel, as necessary, including Strategic Procurement, Tax, Risk and Accounting/Finance.
  • Understand and ensure adherence to internal policies and procedures, and client contractual commitments, to continuously ensure that contract structure, drafting, negotiation, and execution comply with such policies and commitments. Identify and escalate issues and provide risk-based recommendations and advice within strategic business conversations.
  • Provide legal advice and counsel on issues arising from existing contracts, including contract interpretation, compliance with contract terms, termination or renewal. Draft resulting notice letters, amendments and termination letters. Advise and assist with negotiations to resolve contract disputes with third parties.
  • Develop and maintain contract templates to ensure workload efficiency, support in development of business and legal processes and implement internal policies to help scale the business and ensure alignment to current business needs, policy demands and legal trends.


Qualifications

  • Law degree from a reputable, accredited university required. Candidate must be admitted to practice law and in good standing in a jurisdiction within the U.S.
  • 5-8 years of law firm and/or in-house experience and demonstrate a strong interest in continuing to develop as a commercial generalist within an in-house legal team.
  • Prior experience supporting on general commercial and contract matters, ideally for a multinational consumer product brand.
  • Strong experience in negotiating and interpreting complex contracts.
  • Superior analytic, writing, editing and oral/written communication skills.
  • Ability to prioritize, organize and work efficiently in a high-volume, results-oriented environment.
  • Highly organized with strong problem solving skills and a drive for efficiency.
  • Ability to work independently, prioritize and manage expectations.
  • Good people skills and the ability to interface with business teammates and patiently assist internal clients in their preparation for and negotiation of contract documents.
  • Strong business acumen, creative problem solver with a track record of providing guidance and risk-appropriate, solutions-oriented advice to legal issues.
  • Ability to work both independently and collaboratively with a wide range of other disciplines, sometimes across regions, cultures and time zones.

  • Location: This individual must reside within commuting distance from our Baltimore (HQ) office.

Base Compensation

$165,000.00-$220,000.00 USD

Most new hires fall within this range and have the opportunity to earn more over time. Initial placement within the salary range, however, is based on an individual's relevant knowledge, skills and experience for the position.
