The Associate, Counsel will be a member of the Brookfield Properties U.S. Logistics legal team and will support the team's General Counsel, Deputy General Counsel and Vice President, Counsel. In collaboration with other members of the legal team, the Associate Counsel will provide support for and assistance with portfolio and corporation operations.
Role & Responsibilities:Leasing and Portfolio Operations
- Supervise outside leasing counsel and provide guidance to asset management teams in navigating issues relating to leasing and tenancy of industrial portfolio
- Assist in monitoring leasing and operational issues, including disputes or litigation, within U.S. Logistics portfolio, in coordination with asset management and property management teams
- Assist in the financing and refinancing of industrial properties within the U.S. Logistics portfolio
Development
- Assist in all phases of development projects, including the negotiation of NDAs, land purchase agreements, due diligence, entitlements, negotiation and administration of design and construction agreements, easements, REAs, license and/or access agreements.
- Negotiate agreements with design consultants and contractors, advise development team members in connection with negotiations and disputes relating to such agreements, and propose and implement updates to construction and design contract forms (such as AIA 201, AIA 101, AIA 102)
- Monitor due diligence activities and prepare due diligence memoranda in connection with acquisition of land sites for development
- Coordinate closings and other portfolio-facing activities for industrial projects under development to be acquired under forward contracts; track PSA deadlines and obligations for development acquisitions
Construction Financing
- Assist Vice President, Counsel and Capital Markets team to facilitate the negotiation and closing of debt financing for ground up development projects, including forward acquisitions
- Coordinate compliance with loan documents, communication with lenders and monitoring of post-closing covenant performance with applicable team
Corporate Secretarial & Team Operations
- Assist in the management of the team's compliance program, including anti-bribery and corruption, anti-money laundering, responsible contractor principles, risk management, including participation in any required risk reporting
- Assist members of the legal and development teams in the design, modification and implementation of the team's procurement, contracting and vendor management policies
- Coordinate with legal and regulatory teams from across Brookfield to ensure coherence with Brookfield protocols
- Assist in the review and drafting of various contracts and agreements related to the operation of the U.S. Logistics team, such as field office leases, non-disclosure agreements and vendor agreements
Your Qualifications:- Graduate of ABA Accredited Law School, with strong academic credentials
- Minimum of three years of relevant work experience at a law firm, REIT or other major commercial real estate owner
- Broad understanding of legal issues relating to institutional investment in real estate, including development, construction contracting, portfolio management and financing
- Pragmatic, business-oriented lawyer with a strong understanding of investment and real estate fundamentals
- Collegial and collaborative teammate, with a client-service approach to legal work
- Meticulous attention to detail, and exceptional organizational and project management skills
- Excellent interpersonal and written and verbal communication skills
- Strong ability to work well under pressure, handle multiple tasks, function independently with minimal supervision and to prioritize workload
- High level of ethics and integrity, including attentiveness to issues of confidentiality and data privacy
- Proficiency in Microsoft Word, Microsoft Excel and PowerPoint, and ability to become quickly familiar with new or specialized applications or software and AI tools
- Willing to travel occasionally, including to other U.S. Logistics offices in Chicago, Dallas, Los Angeles and New Jersey and to Brookfield corporate offices in New York and Toronto
