Overview

The KPMG Delivery Network (KDN) is a KPMG special purpose member firm offering a way for clients to leverage KPMG top talent and technology platforms through regional teams of specialists, enabling economies of scale and a new way of working that expands beyond local capability Together with KDN, KPMG member firms can drive the sales and delivery of global solutions at a competitive price and in a repeatable and consistent manner.

The KDN Office of General Counsel (OGC) is responsible for managing the organization's global legal and regulatory risk and supporting our business functions and other corporate services in delivering on our commitments as an accelerator to KPMG's Global Collective Strategy. The OGC is seeking an experienced corporate and commercial lawyer who will deliver practical and business-focused legal advice to help us achieve our growth and trust agenda and to work collaboratively with KPMG network firms worldwide. This is a sophisticated generalist role, and the successful candidate will support a variety of corporate, commercial, governance, regulatory and transactional matters.

What you will do

  • Advise on a wide variety of corporate, commercial, governance and regulatory matters as part of a global organization
  • Support our Corporate Development Team with our strategic transactions including M&A, business set-ups, reorganizations and other strategic initiatives
  • Assist with complex corporate governance, including preparation of Board materials, arranging statutory filings, and attending key meetings
  • Draft and review complex commercial agreements such as shared services, technology, procurement, RFPs and engagement
  • Review and advise on new service and solution offerings from a legal risk and Global policy perspective and help with the governance and approval process
  • Ensure business alignment with global policies by advising on legal obligations and remediation strategies in consultation with Office of General Counsel colleagues
  • Manage external legal counsel across jurisdictions cost-effectively and oversee regulatory compliance related to technology, privacy, export, and other matters in commercial agreements
  • Deliver legal training, make presentations, and foster collaborative relationships across KDN and the wider network of KPMG member firms

What you bring to the role

  • Hold a Juris Doctorate (JD) or an equivalent degree with an active license to practice law in the Province of Ontario (or in receipt of necessary waivers while seeking qualification on a timely basis)
  • Possess a minimum of seven years of post-call experience, primarily gained at a major law firm. Additional experience with 'Big 4' accounting firms or in-house legal roles is a plus
  • Demonstrate strong legal expertise, with the ability to lead and support complex corporate, commercial, and regulatory initiatives
  • Expertise negotiating, drafting and reviewing transaction and commercial agreements and advising on laws and regulations across multiple jurisdictions
  • Experience advising on corporate governance and mergers & acquisitions/ new business set-ups
  • Able to work independently and manage complex files while also collaborating with business teams and other OGC team members
  • Balances the needs and demands of a fast growing global business with legal and compliance risk management
  • Self-motivated and thrives in a fast-paced environment working with many different global stakeholders
