Job Overview

The Vice President, Investor Relations will build and lead Penguin Solutions' investor relations function, serving as the primary strategic interface between the Company, shareholders, analysts, and the broader investment community. Reporting to the Chief Financial Officer, this newly created role will shape and communicate Penguin Solutions' investment narrative, business strategy, financial performance, and long-term value creation opportunity with clarity, credibility, and consistency.

This leader will partner closely with the CEO, CFO, executive leadership team, Finance, Legal, Corporate Communications, and business leaders to ensure disciplined external communications, strong disclosure practices, and proactive engagement with current and prospective investors. The ideal candidate brings deep capital markets expertise, strong financial acumen, executive presence, and the ability to translate complex technology, AI infrastructure, memory, and advanced computing concepts into a compelling and differentiated equity story.

Responsibilities

• Develop, implement, and continuously refine a comprehensive investor relations strategy aligned with Penguin Solutions' business strategy, financial performance, growth priorities, and long-term value creation objectives.
• Serve as the Company's primary point of contact and credible spokesperson for institutional investors, sell-side analysts, shareholders, and other members of the financial community.
• Shape and communicate a clear, compelling investment narrative that articulates Penguin Solutions' AI factory platform strategy, market opportunity, competitive positioning, financial performance, and growth trajectory.
• Lead the end-to-end quarterly earnings process, including development of earnings releases, conference call scripts, investor presentations, prepared remarks, Q&A materials, and related executive briefing documents.
• Partner with Finance, Legal, Corporate Communications, and executive leadership to ensure external disclosures are accurate, compliant, transparent, and consistent across all investor-facing communications.
• Build, maintain, and deepen relationships with current and prospective investors, including long-only institutional shareholders, technology-focused investors, and relevant capital markets stakeholders.
• Develop and execute proactive investor targeting, roadshow, conference, investor day, and shareholder engagement strategies to support a high-quality, long-term investor base.
• Monitor investor sentiment, analyst research, peer company performance, valuation trends, shareholder composition, trading activity, market developments, and competitive dynamics; provide actionable insights and recommendations to the executive team and Board of Directors.
• Develop a strong understanding of investor and analyst models, key valuation drivers, consensus expectations, and the assumptions shaping market perception of the Company.
• Prepare executive leadership and Board members for investor meetings, earnings calls, conferences, media interactions, and other external financial communications.
• Support preparation of annual reports, proxy materials, SEC filings, ESG-related investor disclosures, and other public-company communications in close partnership with Legal, Finance, and Communications.
• Establish scalable investor relations processes, tools, metrics, and governance practices appropriate for a growing public company and newly formalized IR function.

Qualifications

• Bachelor's degree in Finance, Accounting, Economics, Business Administration, Communications, or a related field required; MBA, CFA, CPA, or other relevant advanced credential preferred.
• 10+ years of progressive experience in investor relations, equity research, investment banking, corporate finance, capital markets, or a related public-company finance or communications role.
• Prior experience leading or materially contributing to an investor relations function for a publicly traded company, preferably within technology, semiconductors, AI infrastructure, advanced computing, hardware, software, or related markets.
• Strong understanding of public-company disclosure requirements, SEC regulations, Nasdaq-listed company expectations, earnings processes, Reg FD, and investor communications best practices.
• Demonstrated ability to interpret financial statements, operating metrics, valuation frameworks, analyst models, consensus expectations, and peer benchmarking data.
• Exceptional written and verbal communication skills, with the ability to translate complex business, financial, technical, and market information into clear, credible, and compelling messages.
• Executive presence and judgment necessary to advise and prepare senior leaders, represent the Company externally, and build trust with investors, analysts, and internal stakeholders.
• Proven ability to build relationships across the investment community and develop targeted engagement strategies that support shareholder understanding and long-term value creation.
• High level of integrity, discretion, and discipline when handling confidential, material, and market-sensitive information.
• Strong project management skills with the ability to lead cross-functional processes, manage multiple deadlines, and deliver high-quality materials in a fast-paced public-company environment.
• Comfort operating in a newly created role, building processes from the ground up, and balancing strategic leadership with hands-on execution.
• Experience using AI tools to gather and analyze sentiment from analyst coverage, and to help improve the quality and effectiveness of investor relations content.

Compensation & Benefits

The base pay range that the Company reasonably expects to pay for this position in California is $260,000 - $320,000; the pay ultimately offered may vary based on business considerations, including job-related knowledge, skills, experience, and education. The position is bonus-eligible, and there are medical, dental, and vision benefits available. There is a 401k saving plan and other benefits, such as Paid Time Off, Life Insurance, and an Employee Assistance Plan.
