Full Job Description
The Challenge

Reporting to the SVP, Global Total Rewards & Sustainability, the Vice President, Global Compensation will lead the design, program management and implementation of all areas of Compensation across the company.
What You'll Take On
  • Lead & manage a team of Global Compensation professionals.
  • Oversee compensation philosophies and strategies; develop policies and procedures that ensure the achievement of equitable, competitive employee compensation.
  • Responsible for short and long-term incentive plan design and administration, including equity, to attract and retain employees.
  • Support the process for Compensation Committee meetings including preparing materials, coordinating content across multiple functions within Take-Two and with external partners, and lead the reviews of the materials with multiple stakeholders. With the utmost attention to detail, ensure all analyses, information and program rationale are comprehensive and accurate.
  • Conduct detailed analyses of current and potential executive compensation programs and prepare summaries of financial and design implications.
  • Coordinate preparation of externally reported materials, including compensation-related proxy tables and the CD&A for inclusion in the annual proxy statement.
  • Responsible for the year-end compensation planning process.
  • Develop documents related to annual and ongoing executive compensation planning and execution.
  • Maintain awareness of compensation trends through review of relevant literature (e.g., survey results, compensation professional websites, etc.) and attendance at appropriate industry events.
  • In partnership with Legal, stay abreast of current and future pay transparency legislation that impacts the company and ensure internal processes and programs are compliant.
  • Select, develop, and evaluate personnel to ensure the efficient and effective operation of the function.
  • Monitor and forecast equity usage including burn rate, overhang, and other dilution analysis. Provide expertise on equity program design, including performance share design, and partner with accounting/finance on forecasts of equity compensation expense.
  • Provide support for the development and administration of total compensation communication materials for employees.
  • Act as an internal resource to leadership on executive compensation issues.
What You Bring
  • At least 15 years of professional experience or equivalent with 5-7 years of relevant experience in a well-disciplined and matrixed, global organization where best practices are integral to the management of the business.
  • Deep background in broad-based compensation on a global scale, with proven experience in implementing and/or enhancing a company's job framework architecture.
  • Deep background in executive compensation at U.S. public companies with general working knowledge in Finance, Accounting, and Benefits.
  • Demonstrated track record of successfully overseeing a diverse portfolio of incentive plans, ensuring alignment with corporate strategic goals.
  • Excellent interpersonal, relationship-building, and communications skills.
  • Proactive, strategic thinker supported by strong analytical and project management skills.
  • High ownership of work materials and high detail orientation to ensure complete accuracy and quality of output.
  • Ability to "roll up sleeves" in modeling and reviewing complex datasets.
  • Must be detail-oriented and possess organizational, problem-solving skills, and time management skills to meet deadlines.
  • Ability to learn the business and analyze business needs.
