Reports to: Chief Strategy & Corporate Development Officer

Function: Corporate Development

Position Overview

The Vice President, Corporate Development will lead Everfox’s inorganic growth agenda — sourcing, evaluating, executing, and integrating acquisitions, investments, and strategic partnerships that position Everfox for leadership in the Defense Tech market.

Key Responsibilities

Corporate Development Strategy & Pipeline

  • Translate the enterprise strategy and three-year plan into a prioritized acquisition roadmap.
  • Build and manage a qualified pipeline of acquisition targets and strategic partners.
  • Develop investment theses aligned with Everfox’s strategic priorities.
  • Analyze emerging technology markets and competitors to inform acquisition theses.
  • Cultivate relationships with founders, investors, bankers, advisors, and industry leaders.

Transaction Evaluation and Execution

  • Lead the end-to-end transaction process, from initial opportunity assessment through negotiation and close.
  • Develop business cases, valuation models, synergy assessments, value creation plans, and executive recommendations.
  • Coordinate financial, commercial, legal, technical, operational, human capital, cybersecurity, and regulatory due diligence.
  • Partner with Finance, Legal, Product, Technology, Sales, People, Security, and external advisors to evaluate opportunities.
  • Support the negotiation of letters of intent, purchase agreements, partnership structures, and other transaction terms.
  • Prepare decision-ready transaction materials for the CSCDO, CEO, executive leadership team, and Board.
  • Drive deal execution with clear governance and decision criteria.
  • Evaluate JVs, minority investments, and strategic partnerships where they accelerate the inorganic growth thesis.

M&A Integration & Value Realization

  • Develop value creation plans pre-close and own delivery against them post-close, in partnership with business and functional leaders.
  • Establish integration principles, governance, workstreams, milestones, and success measures before transaction close.
  • Ensure integration decisions protect customer commitments, critical talent, intellectual property, security requirements, and business continuity.
  • Track synergy realization, integration risks, strategic outcomes, and transaction performance.
  • Conduct post-transaction reviews and incorporate lessons learned into future corporate development activity.

Leadership Expectations

  • Operate as a trusted advisor to the CSCDO and executive leadership team.
  • Lead cross-functional teams through high-stakes, confidential, and time-sensitive initiatives.
  • Build scalable corporate development processes, governance, tools, and decision frameworks.
  • Balance strategic ambition with financial discipline, operational feasibility, and execution risk.
  • Demonstrate sound judgment when working with sensitive company, employee, customer, and transaction information.

Required Qualifications

  • Bachelor’s degree in finance, economics, business, engineering, or a related field; MBA or comparable advanced degree preferred.
  • 12+ years of experience in corporate development, investment banking, or private equity.
  • Proven track record leading and completing multiple acquisitions.
  • Expertise in financial modeling, valuation, and synergy analysis.
  • Skilled at presenting to executive leadership and Boards.

Preferred Qualifications

  • Experience within Defense Tech, cybersecurity, national security, government contracting, or enterprise software.
  • Understanding of federal customers, classified environments, export controls, regulatory requirements, and security considerations.
  • Experience working in a private equity-backed or acquisitive organization.
  • Experience leading post-merger integration and tracking transaction value realization.
  • Established relationships across relevant technology, investment, banking, and advisory communities.
  • Familiarity with recurring-revenue, software, technology, and government-contracting valuation models.

Measures of Success

During the first 12–18 months, success will include:

  • A prioritized acquisition pipeline and roadmap aligned with enterprise strategy.
  • Consistent acquisition evaluation, diligence, approval, and integration frameworks in place.
  • Decision-ready recommendations delivered to the CSCDO and executive leadership team.
  • Qualified transactions or partnerships advanced and aligned with strategic priorities.
  • Improved cross-functional readiness for future acquisitions and integrations.
  • Measurable accountability for transaction outcomes, synergies, and value realization.
  • Strengthened external network of potential targets, partners, investors, and advisors.

Role Scope

This role is expected to begin as a senior individual-contributor and enterprise leader, supported by cross-functional teams and external advisors. As acquisition volume and organizational needs increase, the VP may build a dedicated corporate development team responsible for transaction analysis, diligence, integration management, and portfolio performance.

A reasonable estimate of the base salary range for this role is:

$253,500.00-319,700.00 USD

The actual salary offered may vary within the range based on a candidates' unique experience, locale, and business needs. In addition to a base salary and bonus plans, Everfox offers a generous benefits package including flexible PTO, a 401k match, and contribution to healthcare coverages.
