Full Job Description
MG+M The Law Firm (MG+M) is seeking to add two Transactional Associate Attorneys to our Transactional Practice Group in the Boston, MA office. We are considering candidates at both the mid-level (2+ years) and senior-level (7+ years) handling transactional matters.

Essential Duties and Responsibilities:

For Attorneys with 2+ Years of Experience:

  • Draft, review, and negotiate a variety of commercial contracts, including NDAs, service agreements, licensing agreements, and vendor contracts.
  • Assist with corporate transactions such as entity formation, restructuring, mergers, acquisitions, and joint ventures.
  • Conduct legal research and provide strategic advice on transactional matters and regulatory issues.
  • Support due diligence efforts and prepare related documentation.
  • Collaborate with internal departments and external clients to ensure legal compliance and mitigate risk.
  • Maintain organized records and manage timelines for multiple ongoing transactions.
  • Stay current with relevant laws, regulations, and industry trends.


For Attorneys with 7+ Years of Experience:

  • Lead the drafting, review, and negotiation of complex commercial agreements.
  • Manage and oversee corporate transactions, including mergers and acquisitions, joint ventures, financing, and restructurings.
  • Advise clients on transactional structures, risk mitigation, and regulatory compliance.
  • Oversee due diligence processes and supervise junior attorneys.
  • Manage multiple high-level transactions simultaneously while meeting deadlines and client expectations.
  • Stay informed on evolving legal and regulatory developments and apply insights to client matters


Candidate Requirements:

  • A minimum of two (2) years of experience in transactional law, preferably in a law firm or corporate legal department.
  • Juris Doctor from an accredited law school.
  • Must be admitted to practice in the state of Massachusetts.
  • Strong understanding of contract law, corporate law, and regulatory frameworks.
  • Exceptional written and verbal communication skills.
  • Ability to manage multiple priorities and work independently or collaboratively.
  • High attention to detail and strong organizational skills.
  • Experience with M&A transactions and corporate governance, preferred.
  • Proficiency in legal research tools and document management systems.
