Job Description:

The Staff Paralegal will serve as a key member of the Legal team, providing senior-level paralegal support across four core areas: (i) general corporate matters, including entity management; (ii) litigation; (iii) employment; and (iv) support of stock administration. This highly experienced professional will partner with the Chief Legal Officer, in-house attorneys, and a broad network of internal and external partners-from the board and executive team to finance, people, security and administrative teammates, outside counsel, and service providers. The Senior Corporate Paralegal will be an action-oriented, highly organized operator who thrives on managing multiple projects and workflows at once, moves quickly on urgent and shifting priorities, and brings the judgment, discretion, and precision required to drive mission outcomes at a high-growth defense technology company.

What you'll do:

General Corporate, Governance & Entity Management
  • Manage Shield AI's domestic and international entity portfolio, including formations, foreign qualifications, annual reports and franchise taxes, registered agent matters, name changes, and dissolutions.
  • Maintain accurate, audit-ready corporate records, minute books, organizational charts, officer and director slates, and the entity management system of record.
  • Support Board of Directors and committee meetings.
  • Maintain signature authority matrices and delegations of authority; prepare officer's and secretary's certificates, incumbency certificates, and certificates of good standing.
  • Respond to KYC, banking, customer, and vendor requests for corporate documentation, and coordinate with local counsel on jurisdiction-specific requirements.
  • Support financings, M&A, joint ventures, and strategic transactions, including due diligence, data room management, closing checklists, signature packets, and post-closing integration of entities and records.
  • Support corporate records and documentation needed for government contracting and security compliance, such as ownership, officer and key management personnel records, and registrations, in partnership with the security and compliance teams.

Litigation & Disputes
  • Support in-house counsel and outside counsel on litigation, arbitration, pre-litigation disputes, and internal investigations.
  • Issue, track, and release legal holds, and coordinate collection and preservation of electronically stored information (ESI) with IT and security teammates.
  • Manage litigation calendars and docketing, and track deadlines, court filings, and matter status across the portfolio.
  • Coordinate intake and response to subpoenas, service of process, demand letters, and third-party information requests.
  • Assist with discovery, document review and production.
  • Maintain the litigation matter tracker and support reporting on active matters, reserves, and outside counsel spend.

Employment
  • Support employment counsel and People teammates on agency charges and inquiries (e.g., EEOC and state agencies), demand letters, and employment-related disputes.
  • Assist with tracking of separation, release, and settlement agreements, offer letter and restrictive covenant documentation, and related approvals.
  • Assist with workplace investigations, including document collection, interview logistics, and organized recordkeeping.
  • Help maintain employment policies, handbooks, and required notices, and track multi-state employment compliance obligations.

Stock Administration & Equity
  • Assist and provide support to Legal, Finance and HR teammates as they administer the Company's equity plans and equity management platform (e.g., Carta), including option and RSU grants, exercises, vesting, cancellations, and terminations.
  • Assist with maintenance of an accurate, audit-ready capitalization table, and reconciliation of equity records with Board approvals, HR, payroll, and finance.
  • Assist with equity grant approvals and supporting documentation, and coordinate with finance on 409A valuations and equity reporting.
  • Process stock transfer requests and support secondary sales, tender offers, and liquidity programs, including transfer restrictions, rights of first refusal, and required notices and consents.

Collaboration, Execution & Legal Operations
  • Work confidently and collaboratively with board, executive team, executive assistants and administrators, and outside counsel, investors, and service providers.
  • Manage multiple concurrent projects and workflows, often under tight timelines, and quickly re-prioritize as business needs and urgent requests shift.
  • Take ownership of matters from intake to completion, anticipating next steps, escalating issues early, and following through without needing to be reminded.
  • Build and improve scalable legal processes, templates, checklists, and trackers, and use legal technology and AI-enabled tools to increase speed and accuracy.
  • Handle highly confidential and sensitive information with the utmost discretion and professionalism.


Required qualifications:

  • 12+ years of legal experience as a corporate paralegal or other legal professional, including substantial in-house experience at a high-growth technology company, venture-backed private company, and/or leading corporate law firm.
  • Broad, hands-on experience across legal issues, preferably with experience regarding general corporate and entity management, litigation support, employment matters, and stock administration.
  • Proven ability to communicate confidently with internal and external partners and collaborate up and down the organization.
  • Highly action-oriented, with a track record of managing many projects and workflows at once and delivering quickly on urgent and frequently shifting priorities.
  • Exceptional attention to detail, organization, and written and verbal communication skills, with sound judgment about when to escalate.
  • Willingness to learn and adopt new technologies.


Preferred qualifications:

  • Familiarity with Delaware corporate law and private company governance, including Board and stockholder consents, minutes, and corporate recordkeeping.
  • Experience supporting equity administration for a private company, including cap table maintenance, option and RSU administration, and stock transfers.
  • Experience supporting venture financings, secondary transactions, tender offers, and M&A due diligence and integration.
  • Experience in the defense, aerospace, government contracting, or other highly regulated industries.
  • Experience supporting an international subsidiary footprint and working with local counsel across multiple jurisdictions.
  • Experience designing or improving legal operations processes and implementing new legal technology.
