Job Summary:This role will support our senior legal staff in managing a wide range of legal matters, including contract review, compliance issues, risk management, litigation, and corporate governance.
Essential Duties and Responsibilities: - Draft, review, and negotiate a wide variety of commercial contracts for upstream oil & gas production.
- Contract management and administration including master service agreements, client contracts, supply agreements, confidentiality agreements, and subcontracts, change management, claim mitigation strategies, and contract disputes.
- Provide legal support to Operations to ensure compliance with federal, state and local regulations and company Code of Conduct.
- Support internal investigations.
- Oversee entity management and registered agent activities.
- Negotiate real estate documents, including leases, and provide oversight of the Company's real property portfolio.
- Interact with support functions and departments, ensuring involvement of Legal in all matters that may have a legal impact on the company.
- Work closely and collaboratively with our clients which include the world's largest energy companies.
- Implement, draft and update procedures, practices, guidelines and templates.
- Participate in litigation management including assisting outside counsel.
- Provide legal support and identify and assess legal risks regarding employment matters.
- Proactively identify and manage risks to ensure business continuity and avoid business interruption.
- Assist with records retention compliance and document control.
- Participates with legal department personnel in budget preparation.
- Assists General Counsel with document preparation as required in connection with domestic business and transactions.
- Supports transactional due diligence including any corporate level or document review.
- Performs other related duties as assigned.
Required Qualifications: - Must be admitted to practice law in at least one state in the USA.
- Minimum of five (5) or more years of experience, preferably in an in-house counsel role and in the oil & gas industry.
- Extensive experience negotiating commercial agreements.
- Exposure in the areas of litigation, real estate, ethics & compliance, employment matters preferred.
- Ability to act independently, handle multiple projects, prioritize, and meet deadlines.
- Ability to function effectively and efficiently with minimal administrative support, including typing skills and ability to work with Microsoft Office suite.

Education Requirements: - J.D. degree from an American bar Association (ABA)-accredited law school.
