Responsibilities

  • Structure, document, negotiate, and finalize commercial lending transactions
  • Negotiate and draft agreements for Global Payments and Trade business, covering a range of financial products
  • Create and negotiate transactional agreements for corporate trust business, including structured finance and corporate debt agreements
  • Address escalations from business stakeholders and outside counsel on transaction issues
  • Contribute to regional and global projects across Credit Services, Global Payments and Trade, and Corporate Trust
  • Engage with senior management and key stakeholders as necessary
  • Collaborate with control functions like Risk and Compliance during advisory tasks

Senior Vice President, Counsel - BNY Issuer Services (Credit Services, Global Payments and Trade and Credit Services)

We're seeking a future team member for the role of Counsel to join our Issuer Services Legal team supporting the (i) Credit Services, (ii) Global Payments and Trade and (iii) Corporate Trust lines of business. This role is located in Pittsburgh, PA or New York, NY.

In this role, you'll make an impact in the following ways:
  • Advise on all aspects of (i) commercial lending, (ii) global payments and trade and (iii) corporate trust transactions, products, programs, platforms, processes and related matters
  • Structure, document, negotiate and close commercial lending transactions
  • Negotiate and draft transactional agreements for BNY Mellon's Global Payments and Trade business - including those related to supply chain finance, receivables finance, risk distribution, white label outsourcing, global banking terms for payments and liquidity services, and a broad range of traditional trade-finance products such as letters of credit, trade loans and the discounting of instruments and documents
  • Negotiate and draft transactional agreements for the corporate trust business- including a broad range of structured finance, corporate debt, government, custody, escrow, insurance trust and public not-for-profit related agreements
  • Manage escalations from various business stakeholders internally and outside counsel on transactional and documentation issues
  • Assist on special, regional and global projects as required for the (i) Credit Services, (ii) Global Payments and Trade and (iii) Corporate Trust businesses
  • At times, interact with senior management and relevant business stakeholders
  • Partner with control functions serving in an advisory or oversight capacity, such as Risk, Audit and Compliance
  • Manage outside counsel and advise on business, regulatory and legal developments
  • Collaborate with other Issuer Services Legal Team members, as needed
  • Negotiate servicing outsourcing contracts

To be successful in this role, we're seeking the following:
  • Juris Doctor from an accredited law school and a member of the Pennsylvania or New York Bar.
  • 3-7 years' minimum of total work experience as a qualified attorney, including representing major financial institutions in lending transactions.
  • Commercial real estate, fund finance or supply chain finance a plus
  • Cross-border transactional experience a plus
  • Ability to handle a diverse and demanding workload
  • Excellent negotiation, analytical, problem-solving, drafting and communications skills
  • Ability to function independently, but also as part of effective teams

Base salary offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. Base salary is only part of the total rewards package, which may include eligibility for an annual discretionary incentive award. Subject to the terms and conditions of the applicable plans then in effect, eligible employees may enroll in a 401(k) plan as well as participate in Company-sponsored medical, dental, vision, and basic life insurance plans for the employee and the employee's eligible dependents.
