Summary:The Sr, Manager, Strategic Investments will serve as a key member of the Machinery Division's strategic investment team, supporting ITOCHU International Inc.'s growth agenda across new investments and current subsidiary investments. The role combines management consulting-style strategy, principal investment analysis, and end-to-end mergers and acquisitions process management. The Sr. Manager will support origination and evaluation of opportunities, lead financial modeling and benchmarking, develop approval materials, support leadership of diligence with internal and external team members, coordinate internal governance, support negotiations and closing, and drive post-close integration and value-creation initiatives. The Sr. Manager will also lead strategic reviews of the existing portfolio, subsidiary growth priorities, investment pipeline focus, and new business development opportunities.
Key Responsibility Areas:Investment origination and strategic opportunity development:
- Partner with division leadership, business departments, subsidiaries, industry participants, and external advisors to identify, screen, and prioritize acquisition, partnership, joint venture, and greenfield investment opportunities.
- Develop market maps, investment themes, target screens, strategic rationales, and outreach materials that translate the Machinery Division's priorities into an actionable opportunity pipeline.
- Monitor relevant industry, competitive, technology, regulatory, and capital-markets developments and convert findings into clear implications and recommendations for senior management.
Investment evaluation and transaction execution:
- Lead day-to-day evaluation and execution workstreams for acquisitions, divestitures, joint ventures, minority investments, restructurings, and other strategic transactions from initial review through closing.
- Build, review, and maintain integrated financial models, valuation analyses, return scenarios, financing and capital-structure assessments, synergy cases, sensitivity analyses, and downside cases.
- Assess strategic fit, market attractiveness, competitive positioning, business-model quality, management capabilities, key risks, and value-creation potential; synthesize complex findings into decision-oriented recommendations.
- Plan and coordinate commercial, financial, tax, legal, operational, human-resources, information-technology, environmental, regulatory, insurance, and other diligence workstreams with internal specialists and external advisors.
- Support transaction structuring, bid strategy, management presentations, negotiation of principal commercial terms, financing, definitive documentation, regulatory processes, closing readiness, and resolution of execution risks.
Approvals, governance, and executive communication:
- Support the development and coordination of investment committee, board, and internal approval materials, including executive summaries, investment theses, valuation and returns analyses, key risks and mitigants, diligence findings, and implementation plans.
- Manage approval timelines, decision gates, stakeholder inputs, and follow-up actions across the Machinery Division, corporate functions, subsidiaries, headquarters, and external counterparties.
- Present analyses and recommendations to senior executives in a concise, balanced, and decision-ready manner while responding effectively to challenges and changing information.
Portfolio strategy, performance, and value creation:
- Lead strategic and financial reviews of subsidiaries and investments, including performance diagnostics, peer benchmarking, portfolio positioning, capital allocation, growth options, and hold, invest, partner, restructure, or exit alternatives.
- Work with subsidiary management teams to translate investment theses into practical strategic plans, operating priorities, performance indicators, and value-creation initiatives.
- Support post-close integration and 100-day planning, including governance, synergy tracking, financial reporting, organizational alignment, risk remediation, and accountability for key milestones.
- Evaluate subsidiary pipeline focus and new-business initiatives, including organic growth, adjacent-market entry, strategic partnerships, and tuck-in acquisitions.
Team leadership and operating excellence:
- Structure ambiguous problems into clear workplans, manage multiple concurrent workstreams, establish quality standards, and ensure timely delivery of accurate and polished work products.
- Direct and review the work of analysts, associates, consultants, and cross-functional team members; provide coaching, feedback, and on-the-job development.
- Build trusted relationships with subsidiary executives, internal functional leaders, headquarters, lenders, investment banks, consultants, accountants, attorneys, and other transaction participants.
- Improve investment processes, analytical tools, approval templates, portfolio-monitoring practices, and institutional knowledge while maintaining disciplined controls and confidentiality.
