Full Job Description
The Fédération des caisses Desjardins du Québec is seeking a senior legal advisor to join the legal team responsible for providing legal support in corporate and transactional law. As a senior legal advisor, corporate and transactional law, you help protect the organization's legal interests by ensuring it complies with all laws. You also play a key role in making sure that the organization's rights are protected and obligations are met. You represent Desjardins in situations involving its legal interests. You lead and influence practitioners on development projects and highly innovative, complex strategic initiatives involving multiple sectors. You help develop and recommend strategic directions and business positions. Your initiatives require extensive, in-depth knowledge of your field of expertise. You make recommendations on the development and execution of projects and initiatives with a very high degree of operational and conceptual complexity. You use your analytical skills and comprehensive, in-depth understanding of your line of business and the organization. Coordination is critical. You interact with a very large number of stakeholders working in a wide range of fields. Interpersonal savvy is therefore essential. You serve as an expert advisor and subject matter expert, as well as a resource person for senior management and decision-making bodies. More specifically, you will be required to:
  • Support the non-organic growth of various business sectors by participating in acquisition initiatives
  • Act at as legal advisor in strategic transactional and corporate files, including strategic investment files
  • Manage the portfolio of Desjardins Group companies, particularly through mergers, corporate reorganizations, intercompany financing, liquidations and dissolutions
  • Provide opinions on the various aspects of transactional and corporate law and companies
  • Draft, review and negotiate documents of a transactional or corporate nature, including articles, bylaws, resolutions, shareholder agreements, share or asset acquisition agreements, partnership agreements, subscription agreements, delegation of authority, mandates and other corporate documents
  • Manage mandates assigned to external legal advisors for major and strategic transactions
  • Analyze applicable regulations and draft the required regulatory applications for a range of transactional files
  • Draft, review and ensure that operations comply with internal governance documents
  • Monitor legislative, regulatory, case law and other changes in corporate and transactional law.
