Overview
Responsibilities

As the Senior Counsel or Assistant General Counsel 6 Corporate, you will be responsible for advising on corporate matters including structuring and corporate documentation for Hines 2 US investment vehicles, joint ventures and the broader Hines corporate structure, as well as leading Hines 2 global corporate secretarial function.

*Title will depend on candidate experience and qualifications*

  • Support corporate structuring for U.S. investment vehicles, joint ventures and Hines 2 internal corporate structure.

  • Supervise entity formation, maintenance, restructuring, and dissolution across jurisdictions.

  • Oversee Hines 2 global corporate governance and corporate administration framework.

  • Lead and manage the global company secretarial and corporate administration team.

  • Manage corporate governance processes, approvals, records, resolutions, and filings.

  • Oversee the coordination of responses to KYC and corporate information requests.

  • Partner with internal legal, tax, finance, compliance, fund, and business teams on corporate matters.

  • Develop and improve processes, controls, and systems for global entity management, KYC and governance.

Qualifications

Minimum Requirements include:

  • J.D. degree from an accredited law school

  • Strong academic credentials from a top tier institution

  • Seven or more years of experience in US corporate law, entity management, corporate governance or corporate administration

  • Prior people management experience, including coaching, mentoring and performance management

  • In-house experience would be beneficial, particularly in a global organization

  • Licensed and in good standing to practice law in at least one U.S. state; Texas licensure preferred

  • Highly confident, articulate, self-motivated, self-sufficient, and enthusiastic individual who is a team player

  • Strong corporate IQ 6 i.e., know how to get things done within a corporate organization

  • Rigorous, detail orientated, flexible, versatile and with good people skills and ability to work in a multi-discipline team

  • Excellent oral and written communications skills

  • Demonstrated ability to establish priorities, work independently, manage multiple concurrent projects, and deliver high-quality work with accuracy and efficiency

About Hines

The Birmingham Small Arms Company Limited was a major British industrial combine, a group of businesses manufacturing military and sporting firearms; bicycles; motorcycles; cars; buses and bodies; steel; iron castings; hand, power, and machine tools; coal cleaning and handling plants; sintered metals; and hard chrome process. After the Second World War, BSA did not manage its business well, and a government-organised rescue operation in 1973 led to a takeover of such operations as it still owned. Those few that survived this process disappeared into the ownership of other businesses. BSA began in June 1861 in the Gun Quarter, Birmingham, England. It was formed by a group of fourteen gunsmith members of the Birmingham Small Arms Trade Association specifically to manufacture guns by machinery. They were encouraged to do this by the War Office which gave the BSA gunsmiths free access to technical drawings and to the War Office's Board of Ordnance's Royal Small Arms Factory factory at Enfield. New machinery developed in the USA installed at Enfield had greatly increased its output without needing more skilled craftsmen. This new machinery brought to Birmingham the principle of the interchangeability of parts.
