Full Job Description
Summary:

The Senior Counsel, Commercial Transactions who will play an important role in supporting the day-to-day contractual legal needs of our HUB business units. This position focuses on representing HUB in connection with a variety of contractual matters, including with insurance brokerage industry-related client engagement agreements, non-disclosure agreements, insurance carrier and partner agreements, and other commercial, vendor and client-facing agreements. This position may also focus on supporting our corporate insurance and regulatory law practice with insurance research and other legal needs.

Responsibilities:
  • Provide advice, negotiate, and draft insurance brokerage industry-related client engagement agreements, carrier and partner agreements and other commercial agreements governing vendor and client relationships in a manner consistent with business decisions, policies, legal guidelines and strategy.
  • Have significant involvement in contractual matters throughout the entire contract lifecycle, from formation to termination.
  • Assist as needed in insurance and regulatory matters for the US legal practice.
  • Manage multiple contracts and projects in a deadline driven, fast paced environment.
  • Work with a wide range of internal clients including senior executives.
  • Engage in and drive projects and initiatives in AI at the departmental and at the corporate enterprise level.


Requirements:
  • Juris Doctor (JD) degree is required, as well as being a member of a State Bar in good standing.
  • Minimum of six (6) years' experience in a commercial contracts role in house at a mid or large sized company or at a law firm resulting in a proven record of professional excellence and achievement.
  • Experience in the insurance brokerage industry strongly preferred.
  • Experience drafting, reviewing, negotiating, and advising on a variety of contracts with clients, vendors and other third parties.
  • Demonstrated excellent written and verbal communication and interpersonal skills working independently or within a team environment is required.
  • Experience working effectively within a team-oriented collaborative organization.
  • Proficient in the use of Microsoft Word, required; AI, PowerPoint, Excel and SharePoint competence is preferred.
  • Demonstrated record of providing substantive/technical legal advice and support to clients.
  • Strong project management skills, including ability to manage multiple projects simultaneously and effectively to completion.
  • Positive client-service attitude.
  • Detail oriented, with excellent organizational skills.
  • Exercises good judgment.
  • Ability to issue spot and summarize key points succinctly.
  • Ability to be flexible and adaptive.
