Intelerad is now a GE HealthCare company, creating an opportunity to help shape commercial contracting during an important period of integration and growth. This role will partner with Intelerad and GE HealthCare colleagues to align contracting practices, support the thoughtful transition of customer agreements, and help scale a broader cloud-first enterprise-imaging portfolio.
The Senior Counsel - Commercial serves as a strategic legal advisor managing complex commercial negotiations. This role primarily involves leading negotiating agreements in the healthcare technology industry and supporting the growth engine to manage deal flow while protecting Intelerad's interests. Such agreements include SaaS subscription agreements, business associate agreements, data processing agreements, NDAs, vendor agreements and more. The Senior Counsel - Commercial must possess a working knowledge of applicable data privacy laws, including HIPAA, and must be comfortable advising the business on the implications of these laws during a negotiation, if necessary. Most importantly, the Senior Counsel - Commercial must be able to communicate deal status to stakeholders both internally and externally, negotiate deals with clients virtually, and be flexible in their negotiation strategy based on the needs of the business.
Key Responsibilities
- Strategic Senior Counsel & Commercial Contracts: Draft, review, and negotiate major and non-standard technology contracts with public and private sector customers, including complex licensing agreements, professional services agreements, and SaaS subscription agreements for cloud-based offerings. Drive standardization and continuous improvement of commercial contract terms, clause libraries, and playbooks while identifying and mitigating legal and commercial risks.
- Decision Maker: Serve as an escalation point for complex deal issues and cross-functional challenges.
- Vendor Contracts: Draft, review, and negotiate vendor agreements to assist Intelerad's procurement function. Work alongside purchasers and internal approvers to ensure vendor agreements are executed in a timely manner while adhering to Intelerad's financial, security and legal guidelines.
- Privacy & Information Security Knowledge: Must have a working understanding of applicable privacy laws, including HIPAA, that relate to the handling of personal health information. Must be able to negotiate deals based on the boundaries set by such laws with clients.
- Cross-Functional Collaboration: Partner with departments across Intelerad to close deals while protecting the business. This person must be a capable communicator that sets reasonable expectations for internal stakeholders and is comfortable identifying key internal stakeholders to obtain approvals that push negotiations forward, if necessary.
QualificationsRequired Qualifications & Experience- JD and active bar membership in at least one U.S. state
- 7+ years of legal experience in a law firm and/or in-house legal department, including substantial experience drafting and negotiating complex SaaS, software licensing and technology agreements
- Solid understanding of corporate, commercial, and intellectual property law with proven experience drafting and negotiating technology-related subscription agreements for cloud-based software offerings
- Demonstrated knowledge and practical experience in working with applicable data privacy laws, including HIPAA
- Strong understanding of software, healthcare technology, and privacy regulations with ability to quickly grasp medical imaging concepts
- Understanding of IT security controls and frameworks
- Exceptional analytical, research, organizational, and planning capabilities
- Proven ability to influence and collaborate with cross-functional teams and build strong internal and external relationships
- Outstanding communication and leadership skills with demonstrated ability to provide clear, actionable legal guidance to executives and operational teams
Preferred
- Experience with FDA regulations and/or SaMD / SiMD (software as a medical device / software in a medical device)

The base pay for this position ranges from $150,000 to $180,000 within any geographic market in the US. Pay may vary depending on job-related knowledge, skills, and experience. Intelerad is a total compensation company. Pay is dependent on the position offered. Bonus and other forms of compensation may be provided as part of a total compensation package, in addition to a full range of medical, financial, retirement, PTO, and/or other benefits.
