Full Job Description
Reporting to the Chief Legal, Human Resources and Administrative Officer, the Senior Corporate & Securities Paralegal will be primarily responsible for corporate maintenance of Velan Inc. and its subsidiaries, board management and the management of certain public company reporting obligations. This role is central to ensuring the organization meets its disclosure and governance obligations as a publicly traded company, while also supporting a broad range of corporate legal matters. The successful candidate will work closely with the legal, finance teams, as well as external counsel, auditors, and transfer agents.

Responsibilities

  • Coordinate filings with securities regulators and stock exchanges (e.g., SEDAR+,TSX)
  • Assist with the preparation and administration of the annual general meeting, including proxy materials, notices, and meeting minutes
  • Maintain corporate minute books, share registers, and organizational charts for the parent company and its subsidiaries
  • Track and manage insider reporting obligations, including insider lists and insider trading reports
  • Monitor compliance with applicable securities laws, stock exchange rules, and corporate governance requirements
  • Liaise with transfer agents, external counsel, auditors, and regulators as required
  • Assist with the maintenance of certain governance policies
  • Support board and committee administration, including scheduling, materials preparation, and minute-taking


Your profile

  • Minimum 10 years of experience as a corporate/securities paralegal within a public company
  • Paralegal diploma/certificate or equivalent experience
  • Strong knowledge of securities law requirements and continuous disclosure obligations for public companies
  • Experience with SEDAR+ and SEDI
  • Familiarity with corporate governance best practices and stock exchange listing requirements
  • Strong organizational skills and attention to detail
  • Ability to manage multiple deadlines and work under pressure, particularly around quarterly and annual reporting cycles
  • Self-driven and goal-oriented, with the ability to work autonomously and manage competing priorities
  • Strong interpersonal skills, with a demonstrated ability to work effectively both independently and as part of a team
  • Bilingualism (English/French) considered an asset
