The Opportunity
We're looking for a senior paralegal who thrives in a high-volume transactional environment. You'll be the legal team's operational backbone - managing deal execution across project acquisitions, project financings, entity formations, and real estate matters from letter of intent through closing and beyond. This is a hands-on, high-autonomy role with direct exposure to the CLO and outside counsel, and real ownership of process and workflow.
What You'll Do
• Manage and coordinate all aspects of project acquisitions, including due diligence, title review, survey analysis, and closing deliverables
• Support project finance transactions (tax equity, construction loans, term debt), including organizing data rooms, managing CP checklists, and tracking funding conditions
• Form and maintain special purpose entities (LLCs, holding companies, partnerships) across multiple jurisdictions
• Draft, review, and manage real estate documents including leases, easements, license agreements, and memoranda of lease
• Coordinate with title companies, surveyors, local counsel, and government agencies on land acquisition and permitting matters
• Maintain corporate records, organizational charts, and governance documents for a growing portfolio of project entities
• Manage transaction timelines, signature pages, and post-closing obligations
• Develop and improve internal legal processes, templates, and playbooks as the platform scales
What We're Looking For
• 8+ years of paralegal experience in corporate transactions, real estate, or project finance (or a combination)
• Demonstrated experience managing complex, multi-party closings with minimal attorney supervision
• Familiarity with commercial real estate transactions (title insurance, surveys, land use, lease structures)
• Experience with entity formation, corporate governance, and maintaining capitalization records
• Comfort working across multiple deals simultaneously in a fast-paced environment
• Strong organizational instincts - you build systems, not just follow them
• Paralegal certificate or bachelor's degree required
• Bonus: experience in renewable energy, infrastructure, or project finance
