Kroll is looking for a Senior Corporate Counsel to provide commercial legal support to its Risk Advisory business in the Americas. As a successful counsel in this role, your major responsibilities include preparing and negotiating client, vendor, product and other related agreements; providing counsel to business and technology leaders; and liaising with others team members regarding intellectual property, technology, cyber security and privacy matters.

Day-to-Day Responsibilities:
• Provide commercial legal advice and support to Kroll's Risk Advisory business in the Americas.
• Consult with business unit stakeholders on client service opportunities, strategic initiatives, and technology projects.
• Draft, review, and negotiate a range of product and service contracts, in particular confidentiality agreements, SAAS agreements, data protection agreements, business associate agreements, data licenses, client engagement agreements, master services agreements, and vendor agreements.
• Review, update, and create precedent agreements and legal processes as needed and appropriate.
• Perform legal research in relation to new or newly applicable legislation and on more specific points of law in the region, as needed.
• Direct and interface with outside counsel as needed.
• Build strong relationships with the other lawyers on the team, business unit leadership and with regional and global colleagues.
• Provide training to business colleagues on applicable legal issues.

Essential Traits:
• Admitted to practice law in the United States with a minimum of 5+ years' post qualification experience.
• Solid law firm training and in-house experience with a regional or global technology or technology consulting firm; significant exposure to cyber security-related services an advantage.
• Professional, commercial and solution-oriented approach to problem solving and strong collaborative and team ethic is essential.
• Ability and desire to work both collaboratively and autonomously.
• Excellent communication and relationship-building skills, both written and oral, with the ability to write with precision and clarity.
• Hardworking, with demonstrated ability to work well under pressure while continuing to work in an orderly and organized manner.
• Ability to navigate complex issues and manage risks in an appropriate balance with commercial objectives.
• Hybrid. Due to the highly collaborative nature of the work we do, this role will require presence in our Dallas metro area office or Richardson office 1-2 days per week.
