ModMed is seeking a Senior Contracting Paralegal in our Legal Department to manage and negotiate high-volume commercial agreements. In this role, you will support our Sales and Procurement teams to drive revenue generation while protecting the company's legal and operational interests. You will partner closely with the Sales and Procurement teams to enable efficient deal execution and ensure full compliance with company policies and standards.Your Role:Commercial Contract Negotiation: Independently review, redline, and negotiate a variety of commercial agreements-including SaaS subscriptions, Master Services Agreements, Statements of Work, NDAs, Data Processing Agreements, and Business Associate Agreements-by applying established company playbooks, fallback positions, and standardized guidelines.Deal Enablement & Workflow Support:Assist Sales and Procurement teams with standard contract structures, renewal terms, billing triggers, and order form details to keep deals moving efficiently through the pipeline.Risk Alignment & Healthcare Compliance Check:Review contractual terms regarding data privacy, security, SLAs, and liability against established company policies, healthcare standards, and escalation paths. Escalate non-standard legal risks to managing attorneys as appropriate.
CLM & Template Management:Maintain and update contract templates, clause libraries, and negotiation playbooks. Drive clean data entry and workflow efficiency within the Contract Lifecycle Management (CLM) system to reduce turnaround times.
Cross-Functional Coordination: Serve as an operational legal liaison for the Sales and Procurement teams. Coordinate with Security, Privacy, Finance, and Customer Success to collect approvals and ensure agreed terms align with operational capabilities.
Contract Administration & Reporting: Maintain complete and accurate contract records. Track key contract metrics-such as turnaround times and request volumes-and assist with audit readiness and reporting.
Process Guidance & Training: Educate Sales and Procurement teams on legal intake procedures, contracting policies, and proper template usage.
Skills & Requirements:- Bachelor's Degree in Legal Studies, Business or a related field, or Paralegal Certification required.
- 6-10+ years of commercial contracting or paralegal experience.
- Experience in supporting SaaS or technology transactions.
- Experience in drafting, reviewing and negotiating commercial agreements.
- Understanding of commercial contract provisions (e.g., liability, indemnity, data protection, service levels, etc.).
- Strong stakeholder management skills.
- Analytical and risk assessment capabilities.
- Strong written and verbal communication skills.
- Experience with contract lifecycle management tools.
- Experience in healthcare technology or regulated industries, a plus.
- Experience supporting global contracting, preferred.
- Experience in mid-size or public technology companies, preferred.
- Knowledge of data privacy frameworks (HIPAA, GDPR, etc.), preferred.
- CLM platform experience (Ironclad, Agiloft, Conga, etc.) preferred.
