About the OpportunityElevateNext is seeking a talented Mid-Level Corporate Attorney to support emerging and growth-stage businesses on a wide range of corporate matters. This role is ideal for an attorney who enjoys serving as a trusted business advisor, partnering with innovative companies, and handling sophisticated corporate transactions while leveraging technology to improve legal service delivery.
The successful candidate will have approximately 5-7 years of corporate law experience and be comfortable independently managing matters involving entity formation, governance, financings, strategic transactions, commercial agreements, and corporate operations.
Responsibilities - Advise clients on corporate governance, entity formation, and organizational structuring.
- Draft, review, and negotiate a variety of corporate and commercial agreements.
- Support capitalization, equity, financing, and investment-related transactions.
- Counsel growth-oriented businesses on day-to-day corporate legal matters.
- Assist with mergers, acquisitions, strategic transactions, and corporate restructurings.
- Advise Delaware corporations and LLCs regarding governance and compliance matters.
- Collaborate with business stakeholders to provide practical, commercially focused legal guidance.
- Utilize legal technology and legal operations tools to improve efficiency and service delivery.
- Manage multiple matters independently while maintaining exceptional responsiveness and client service.
Qualifications - J.D. from an accredited law school.
- Active U.S. bar membership with Arizona licensure or ability to waive into Arizona preferred.
- 5-7 years of corporate law experience.
- Strong experience with entity formation, governance, financings, and commercial contracts.
- Ability to independently manage legal matters and interact directly with business leaders.
- Excellent drafting, negotiation, and communication skills.
- Experience supporting technology, SaaS, startup, or high-growth companies is strongly preferred.
