Full Job Description
A National Renewable Energy Company that develops, finances and operates renewable energy projects is looking to grow their legal team. As the Corporate Counsel, you will play a pivotal role in the business by leading all legal matters related to project finance and M&A. This is an exciting opportunity for an experienced attorney to work with a dynamic and fast-paced team, providing legal guidance and support for all aspects of our business.

Responsibilities:
  • Lead the legal function, providing strategic guidance and oversight in M&A and project finance activities.
  • Manage project finance activities including debt financing and tax equity financing transactions
  • Lead due diligence efforts for M&A transactions by drafting and negotiating membership interest purchase agreements, asset purchase agreements, asset transfer agreements, and share transfer agreements
  • While using your legal expertise, you will work in tandem with the commercial team to make strategic decisions regarding the acquisition and sale of renewable energy projects.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law school and admission to the bar
  • A minimum of 4 years of legal experience, with a strong focus on M&A and project finance transactions in the renewable energy sector.
  • Ability to work independently and collaboratively
  • Strong understanding of the solar industry and related legal issues
