Full Job Description
Job Summary

The Principal Corporate Paralegal provides legal and administrative support for Flex's corporate governance, public company compliance, Board administration, and subsidiary management functions. This position reports to a VP of Legal and will work closely with the Corporate Counsel - Governance and Securities, external counsel, other global corporate departmental leaders and executives, and is located at our Corporate HQ in Austin, TX.

What a typical day looks like:

Board Administration & Corporate Governance
  • Support the administration of the Board of Directors and Board Committees.
  • Coordinate Board and Committee meetings, including meeting logistics, preparation and distribution of materials, and maintenance of corporate records.
  • Assist with preparation of minutes, resolutions, and governance documentation.
  • Maintain director and officer records, affiliations, governance databases, and annual D&O questionnaires.
  • Support executive and director compensation administration activities.


Public Company & Securities Support
  • Support annual shareholder meeting planning and administration.
  • Coordinate proxy statement and annual meeting logistics with the proxy printer, transfer agent, Investor Relations team, outside counsel, and other service providers.
  • Assist with preparation and maintenance of materials supporting SEC filings, governance disclosures, and other public company compliance requirements. If resources allow, execute transmission of routine SEC filings.


U.S. Subsidiary Maintenance & Entity Management
  • Maintain corporate records and legal entity information for U.S. subsidiaries and support foreign offices as necessary for maintenance of non-U.S. subsidiaries.
  • Prepare and/or coordinate subsidiary annual reports, business registrations, foreign qualifications, officer and director changes, and other required state filings.
  • Draft and maintain resolutions, consents, certificates, organizational documents, and related corporate records and manage entity database.


Secondary Responsibilities
  • Support Treasury and Finance teams with KYC, banking documentation, authorized signatory matters, and financing-related due diligence.
  • Assist with employee mobility initiatives, state authorization requirements, and related compliance matters.
  • Support special projects involving corporate transactions, legal operations, governance initiatives, and other strategic corporate activities.
  • Coordinate with internal stakeholders and external service providers to support the Company's broader corporate legal function.


The experience we are looking to add to the team:
  • Bachelor's degree, Paralegal Certificate, or equivalent combination of education and experience.
  • 8+ years of corporate paralegal experience supporting corporate governance, public company, securities, or corporate secretarial functions.
  • Experience supporting a publicly-traded company required.
  • Experience with subsidiary management, Board administration, and corporate governance activities preferred.
  • Demonstrates advanced functional, technical and people and/or process management skills as well as customer (external and internal) relationship skills.
  • Demonstrates expert knowledge of the function and a thorough comprehension of Flex and related business.
  • Demonstrates detailed expertise in very complex functional/technical area or broad breadth of knowledge in multiple areas; recognizes the strategic impact of the function across sites.
