Job Description
As a Principal Attorney, Process Automation at Honeywell, you will serve as a senior legal advisor to the Process Automation business, managing a portfolio of complex commercial transactions across the oil and gas, chemicals, mining, pulp and paper, and power industries. You will negotiate and draft technology agreements and service agreements, while advising leadership on regulatory and policy compliance, and emerging technology risks.
Reporting to the Assistant General Counsel, Process Automation, this role is based in Houston, TX, with a hybrid work schedule supporting the US East region.
Responsibilities
KEY RESPONSIBILITIES
Negotiate, draft, and review complex commercial agreements, including technology licensing and SaaS, supply agreements, service contracts, and joint development agreements, related to industrial automation.
Provide legal advice on contract strategy, risk management, compliance, and regulatory matters.
Collaborate closely with cross-functional teams including engineering, procurement, compliance, and other business units to support contract execution and operational objectives.
Support dispute resolution, contract compliance monitoring, and delivery of targeted training on legal best practices to business unit heads, and functional teams.
Advise on legal risks associated with AI, machine learning, and other emerging technologies deployed in Honeywell's process automation solutions.
Conduct proactive risk analyses, develop mitigation strategies, and provide actionable guidance to business leaders on legal implications of new product launches, partnerships, and market expansions.
Qualifications
MUST HAVE
Juris Doctor (JD) from an accredited institution or equivalent law degree (Bachelor of Laws, LLB).
Active membership in at least one U.S. state bar or eligibility to sit for a U.S. state bar exam.
Minimum of 5 years' experience negotiating and drafting complex commercial agreements, including technology licensing and SaaS.
Experience supporting industrial and technology projects as in-house counsel, or at a law firm with a significant technology-related practice.
Demonstrated ability to identify and mitigate legal risk and provide practical, business-focused legal advice.

Experience with cybersecurity-related legal issues, including CMMC, NIST frameworks, and FedRAMP.
Knowledge of data privacy laws and frameworks applicable to industrial IoT and connected systems.
Proficiency with AI-enabled contract analysis tools, CLM platforms, or legal technology solutions.
