Job Description Summary:
Focus is seeking a dedicated and detail-oriented professional to assist attorneys in our Legal Department across a diverse range of corporate, transactional and other matters. This role can be based in St. Louis, MO or New York, NY.

Job Description:

Primary Responsibilities
  • Provide critical support in all stages of corporate transactions, including drafting documents, project management, and coordinating closing and post-closing deliverables.
  • Assist attorneys in drafting or preparing a variety of legal documents and agreements, including commercial contracts, governance documents, resolutions/written consents, meeting minutes, and non-disclosure agreements.
  • Organize, manage, and maintain legal documents within an electronic document management system, ensuring accessibility and accuracy.
  • Assist with maintaining corporate records, including entity organizational charts, as well as various internal lists and records related to entity management, transactions, regulatory compliance, and other legal matters.
  • Assist with corporate filings, including entity formations, annual reports, qualifications, dissolutions, DBA filings, name change amendments, and other related matters.
  • Utilize and leverage AI and assist in developing improvements to relevant processes and workflows.
  • Support the Legal Department with various ad hoc legal tasks as needed.


Qualifications
  • Minimum of five years of relevant corporate/transactional paralegal experience.
  • Strong understanding of corporate/transactional matters is required. Understanding of investment adviser regulations and/or corporate secretarial responsibilities is preferred.
  • Bachelor's degree, paralegal certification, or equivalent professional experience.
  • Exceptional organizational skills with the ability to work independently, manage multiple projects simultaneously, and drive tasks to completion with efficiency and precision.
  • Proficiency in Microsoft Office Suite and document management systems, with the ability to quickly adapt to new technologies.
  • Demonstrated ability to multitask, prioritize effectively, and excel in a fast-paced, high-pressure environment.


This position is an exempt position. The annualized base pay range for this role is expected to be between $100,000-$130,000 base salary compensation range. Actual base pay may vary based on factors including, but not limited to, experience, subject matter expertise, geographic location where work will be performed, and the applicant's skill set. The base pay is just one component of the total compensation package. Other rewards may include an annual cash bonus and a comprehensive benefits package, including but not limited to medical, dental, vision, life insurance, and 401(k). Please note that the job title is subject to change based on the selected candidate's experience and education.
