Your contribution!

Reporting to the Senior Director, Legal Affairs, you will collaborate closely with Legal Affairs and business teams across the organization.

Your day-to-day!

Corporate Affairs
  • Incorporate and maintain subsidiaries and affiliated entities in Canada and the United States
  • Prepare corporate filings, amendments, registrations, annual filings, and corporate declarations
  • Draft annual and special shareholder and director resolutions
  • Support Board and committee activities for affiliated entities, including calendars, consents, minutes, and meeting materials
  • Maintain minute books, corporate records, registers, and organizational charts
  • Coordinate changes related to directors, officers, signing authorities, and governance records
  • Respond to internal requests for corporate information and liaise with external counsel and service providers

Transactions and Operations
  • Support corporate reorganizations, joint ventures, RFPs, procurement processes, and other transactions
  • Prepare resolutions, officer certificates, closing documents, signature packages, and closing checklists
  • Coordinate due diligence processes, virtual data rooms, document execution, and post-closing deliverables
  • Assist project teams with RFP submissions, procurement documentation, certifications, and related corporate materials

Legal Operations
  • Develop and maintain legal templates, precedents, checklists, and tracking tools
  • Support document management, contract management, and entity-management systems
  • Contribute to improving legal workflows, filing practices, compliance calendars, and reporting tools
  • Assist with audits, internal reporting requirements, and other Legal Affairs initiatives


Your skills, our requirements!
  • Bachelor's degree, Paralegal Diploma, or Paralegal Certificate from an accredited institution
  • 3 to 5 years of relevant paralegal experience within a law firm or corporate legal department
  • Experience maintaining corporate records, annual filings, and corporate reorganizations
  • Strong understanding of corporate legal terminology, procedures, governance, and documentation
  • Knowledge of Canadian corporate law and governance, including British Columbia and federal corporations
  • Experience with U.S. corporate matters, renewable energy, infrastructure, or project development is considered an asset
  • French language skills are considered an asset

Professional skills
  • Excellent organizational skills and exceptional attention to detail
  • Strong drafting, proofreading, communication, and interpersonal skills
  • Sound judgment, discretion, initiative, and problem-solving abilities
  • Ability to work independently while managing multiple priorities and deadlines
  • Experience partnering effectively with internal business teams in a collaborative environment

Technical skills
  • Proficiency with Microsoft 365, including Word, Excel, Outlook, PowerPoint, Teams, and SharePoint
  • Experience with document management platforms, entity management systems, contract management tools, electronic signature solutions, or virtual data room platforms is an asset

Pay Transparency Statement

Compensation for roles at Innergex varies based on a wide range of factors, including skill set, education, and relevant experience. We are committed to pay equity and take internal equity among current team members into account when determining any final offer.

To support pay transparency, the hiring range for this position is $89,000-$102,000 per year, exclusive of fringe benefits or potential bonuses. Your final base salary, if hired, will be determined by factors such as your skills, education, and experience, along with our commitment to internal equity.

Please note that it is not typical to hire at the top of the hiring range, as doing so limits opportunities for future salary growth. Innergex also offers a comprehensive compensation and benefits package.
