Job Description: Senior Energy Counsel

Responsibilities:
  • Negotiate, draft, and provide legal guidance on a wide range of commercial power contracts, including complex offtake and power purchase agreements, hedging transactions (both virtual and physical), energy management agreements, commodity broker registrations, ISDA and EEI agreements and confirmations, tolling and capacity purchase transactions, and related credit support instruments.
  • Assess the financeability of commercial transactions and provide strategic legal input.
  • Collaborate with cross-functional teams-including origination, engineering, asset management, and market operations-to support the development and operation of battery energy storage systems.
  • Advise on operational matters, including the negotiation of qualified scheduling entity contracts and other market-related agreements.
  • Provide legal counsel on risk management policies related to energy procurement, trading, forecasting, and scheduling.
  • Draft and negotiate agreements related to trading activities and ensure compliance with applicable regulations.
  • Support various internal teams across development, construction, finance, operations, compliance, and trading functions.
  • Handle a broad range of legal agreements, including those related to project development, corporate transactions, M&A, and general commercial matters.
  • Manage external legal counsel and oversee legal billing processes.
  • Contribute to a dynamic and collaborative legal team, with opportunities to expand responsibilities based on individual expertise and evolving business priorities.

Preferred Skills, Knowledge, and Abilities:
  • Prior in-house legal experience is preferred.
  • Strong background in origination, offtake transactions, and power trading is required.
