Dorsey & Whitney LLP is seeking a Mergers & Acquisitions Associate with three to five years of experience to join our Dallas office.

Dorsey & Whitney LLP is seeking a Mergers & Acquisitions Associate with three to five years of experience to join our Dallas office. This associate will work primarily in our Mergers and Acquisitions practice group, but they would also have the opportunity to work on a variety of general corporate matters, including corporate restructurings, strategic partnerships, fund formation, and private equity and venture capital investments.

In addition to general M&A/Corporate experience, the associate will advise emerging-growth companies, venture capital funds, private equity sponsors, private investment funds, and other investors in a broad range of venture capital, private investment, and corporate matters. The practice includes representing clients in preferred stock financings, convertible notes and SAFE financings, growth equity investments (including majority and minority equity investments), equity co-investments, recapitalizations, and other complex equity and debt transactions; counseling companies on formation, capitalization, corporate governance, equity incentive arrangements, and day-to-day corporate matters; assisting private equity sponsors, private investment funds, and other investors with investment structuring, documentation, due diligence, and portfolio-company matters, including the documentation and negotiation of subscription agreements, LLC agreements, investors' rights agreements, rollover equity arrangements, co-investment documentation, side letters and related transaction agreements. The associate will have opportunities to work directly with founders, management teams, and investors throughout the company and investment life cycle, from formation and early-stage financing through later-stage growth transactions, sponsor-backed investments, and strategic exits.

Qualified candidates will have:
- A JD degree from an ABA-accredited law school
- Three to five years of corporate experience, including mergers and acquisitions experience
- Strong communication and writing skills
- Top academic credentials
- Texas bar admission or the ability to become licensed in Texas

Private Fund formation experience a plus but not required.
