Manulife seeks a Managing Director, Assistant Chief Counsel with 8+ years of meaningful transactional legal experience involving the structuring, negotiation and managing of complex private debt transactions, in particular private placement notes, project finance, private credit and investments across a variety of industries. This position works closely with the company's front-office teams that originate investments around the world. The position will also collaborate with other business teams and legal colleagues in Canada, the United States and internationally to support asset origination, asset management, and corporate initiatives.
The successful candidate will have deep knowledge of fixed income transactions of various types. Experience in cross-border transactions, regulated industries and/or workouts and restructurings improves any candidacy. Above all, we seek a colleague who act as a trusted advisor and broad problem solver to partner with business clients to develop prudent, creative solutions that advance and protect the company's interests.
Position Responsibilities:- Partner with internal business teams to analyze and structure investment opportunities
- Review, analyze and negotiate deal documents
- Manage transaction processes from origination through closing
- Support existing portfolio investments, including review of amendments, consents, workouts, prepayments and regulatory matters
- Direct outside counsel in connection with transactions and other investment matters
- Keep abreast of legal, regulatory and market developments
- Apply legal principles in a practical way to support and protect the company from a variety of risks
- Provide general corporate advice to support the organizations investment businesses and operations
Required Qualifications:- Juris Doctor with 8+ years meaningful experience
- Licensed (or eligible to be licensed) to practice law in Ontario
- Prior work experience at a major law firm and/or in a corporate environment
- Integrity, collegiality, team orientation, and professionalism
- Strong analytical abilities, excellent judgment and outstanding communication skills
- Ability to work optimally with clients and colleagues remotely across multiple time zones
- Adaptability to shifting demands in an evolving environment
