Manager of Legal Services - Senior Counsel

Carmel, IN

General Summary

This position will be responsible for being a key team member of the Legal and Corporate Compliance Department. This position will work with various Departments throughout ACES at the direction of the Executive Director of Legal and Corporate Compliance. ACES is not considered a utility.

Duties and Responsibilities
  • Legal generalist in business law, contracts, governance with specific expertise in whole-sale energy commodities market regulations in compliance.
  • Communicate effectively with internal and external stakeholders.
  • Manages discovery process, including document review, privilege log creation, deposition preparation and document production requests.
  • Adhere to and serve as a role model with respect to all ACES corporate policies, and comply with all ACES regulatory requirements, including but not limited to NERC, FERC, and relevant state regulations, as applicable to this position.
  • Research, analyze and summarize decisions by the FERC, NERC and the CFTC.
  • Research and prepare memoranda on various issues of law.
  • Draft, review, negotiate and work closely with business partners on various agreements in support of strategic initiatives, including vendor agreements, purchase agreements, service agreements, non-disclosure agreements and other commercial agreements.
  • Anticipate and guard against legal risks to the organization.
  • Deliver timely and quality legal advice.
  • Develop and manage policies and procedures related to contracts and commercial relationships, including development of appropriate form documents and clauses.
  • Lead Legal and/ or compliance projects within a project management plan.
  • Travel, as necessary.
  • Any additional responsibilities assigned by management.

Required Qualifications
  • Undergraduate degree and a JD from an ABA-approved law school.
  • Ten (10) + years of law firm, in-house experience.
  • Five (5) years legal experience in energy trading, regulation, compliance and/or enforcement experience.
  • Indiana license to practice law, or ability to obtain with six months of hire date.
  • Legal generalist in business law, contracts, governance with specific expertise in whole-sale energy commodities market regulations in compliance.
  • Ability to autonomously solve problems, make decisions and prioritize their resolution.
  • Collaborative team player with a positive attitude.
  • Capable of leading and participating in cross-functional project teams to meet key milestones and goals.
  • Ability to handle multiple tasks simultaneously.
  • Ability to maintain the highest degree of confidentiality and demonstrate trust.
