Job Title: Manager, Legal Operations & Strategic Projects

Overview:

 

Audacy is seeking a Manager of Legal Operations & Strategic Projects to serve as the lead for strategic projects and manage workflows and documents across our legal department. This role will serve as the central driver for all legal department initiatives and projects, while maintaining a high standard for document organization, retrieval, and life-cycle contract management.

 

The ideal candidate brings a strong project management background (preferably within the legal and/or broadcast media landscape). You will keep key transactions and departmental projects running seamlessly, while maintaining effective contract management, coordinating with internal and external stakeholders, and driving strategic legal initiatives to support overall organizational growth and efficiency.

Responsibilities

What You'll Do:

  • Lead legal operations and department initiatives and manage and execute legal department projects.
  • Lead project management for multi-faceted transactions (e.g., M&A and financings), including efficiently organizing complex contracts into virtual data rooms for internal and external stakeholders, coordinating cross-functional due diligence streams and responses to counterparty diligence requests, building and maintaining project management tools and trackers to monitor diligence requests and pre- and post-closing matters; maintaining closing conditions checklists, tracking corporate approvals (board resolutions, shareholder consents), overseeing legal document execution and escrow mechanics, securing third party consents, managing closing exchanges, and compiling closing binders.
  • Function as the primary driver and manager of strategic projects at the request of attorneys and other internal business partners ensuring clear communication of tasks and setting and meeting deadlines.
  • Serve as the primary subject matter expert on document and storage management, contract retrieval, leveraging a strong understanding of contracts and key terms in order to accurately organize, classify, and audit documents for internal searchability.
  • Manage administration of contract-related resources and collaboration tools, including but not limited to iManage, DocMinder, and physical files and related licenses.
  • Draft agreements and notices using templates, as well as disclosure schedules for M&A transactions, in each case with attorney oversight.
  • Other duties as assigned.
Qualifications

More About You:

Required & Preferred:

  • 5+ years of experience working directly with broadcast media and/or entertainment contracts (including talent agreements, vendor agreements, and transactional agreements such as purchase agreements) with a strong grasp of standard deal mechanics and terminology.
  • Demonstrated experience managing complex transactions and projects, and building or maintaining contract databases and virtual data rooms for transactions and audits.
  • Proven ability to critically evaluate, analyze, and synthesize disparate information gathered from cross-functional teams such as Finance, HR, IT, and Programming.
  • BA/BS from an accredited college or university, or an equivalent combination of education and relevant experience.
  • Proficient in the Google, Microsoft, and Adobe suites, including building and maintaining project trackers.
  • Ability to handle and prioritize multiple projects simultaneously and operate with limited supervision in a fast-paced, high-volume workplace.
  • Ability to work well with others in a collaborative environment.
  • Exceptional initiative, judgment, prioritizing and organizational skills.
  • Excellent oral and written communication, analytical skills, and problem-solving ability.
  • High degree of discretion, professionalism, judgment, and follow-through.
  • Prior personnel management experience preferred.
