General Description

The Manager II is appointed as the Chief Compliance Officer ("CCO") of the firm's Broker-Dealer and Registered Investment Adviser businesses and is responsible for leading the Compliance Department and overseeing the administration of the firm's compliance programs. The position serves as the principal compliance advisor to Senior Management and the Board of Managers, providing independent oversight and guidance to promote compliance with applicable federal and state securities laws, FINRA rules, the Investment Advisers Act of 1940, other regulatory requirements, and the firm's policies and procedures.

Essential Duties and Responsibilities
• Lead and administer the firm's Broker-Dealer and Investment Adviser Compliance Programs, including the development, implementation, maintenance, and annual review of compliance policies, procedures, and controls.
• Maintain current knowledge of applicable statutes, regulations, regulatory guidance, industry developments, and interpretations affecting the broker-dealer and its activities.
• Maintain the firm's Supervisory and Compliance Manual and coordinate updates based on changes in laws, regulations, business activities, and internal policies.
• Oversee the firm's continuing education program, including the Firm Element Plan and annual compliance meeting, and monitor compliance with applicable Regulatory Element requirements.
• Coordinate and perform periodic reviews of registered offices, records, and personnel activities, and prepare written assessments and reports, as applicable.
• Oversee the intake, review, escalation, investigation, disposition, and regulatory reporting of customer complaints; coordinate arbitration matters and serve as a corporate representative when required.
• Prepare and present periodic compliance reports to senior management, the Board of Managers, and applicable committees.
• Manage relationships with FINRA, the SEC, state securities regulators, and other applicable regulatory authorities, and coordinate regulatory, internal audit, and independent examinations.
• Oversee internal and regulatory investigations and monitor the timely implementation and closure of corrective actions and regulatory commitments.
• Oversee the accurate and timely submission of required regulatory filings, registrations, amendments, and disclosures, including FINRA and SEC filings, Form BD, Form ADV, Form CRS, Form U4/U5, state registrations, licensing, and other regulatory reporting obligations.
• Review and approve marketing and retail communications, advertisements, sales literature, promotions, and associated-person presentations, as required by applicable rules and firm procedures.
• Oversee compliance aspects of employee onboarding, including fingerprinting, background checks, registrations, personal brokerage accounts, and outside business activities.
• Review and approve, as applicable, gifts and gratuities, political contributions, outside business activities, and private securities transactions involving registered representatives and firm associates.
• Support the Regulatory Risk Assessment and Testing function in maintaining the regulatory compliance risk assessment, including identifying applicable regulatory requirements, inherent risks, key controls, residual risks, and action plans to address control gaps.
• Coordinate with compliance, legal, risk, audit, and other control functions of the parent company and affiliated bank to address enterprise requirements while preserving the broker-dealer's regulatory obligations and appropriate independence.
• Manage departmental resources, budget, expenses, priorities, and staff development.
• Provide compliance oversight and guidance for Investment Banking activities, including applicable regulatory requirements, conflicts management, and supervisory controls.
• Participate in the review and approval of new products, advisory services, investment programs, and business initiatives to identify regulatory risks and ensure appropriate compliance controls are established prior to implementation.
• Perform other duties and special projects as assigned.

Education

Bachelor's degree in Business Administration, Finance, Accounting, Law, or a related field required.

Juris Doctor (JD), master's degree, or advanced studies in a related field preferred.

Experience
• At least seven (7) and up to ten (10) years of progressively responsible experience serving as a Chief Compliance Officer or in a substantially equivalent senior broker-dealer compliance leadership role.
• Demonstrated experience with a FINRA-member broker-dealer and SEC-registered investment adviser, including responsibility for compliance program administration, regulatory examinations, supervisory controls, regulatory filings, investment advisory compliance, and Board reporting.
• Experience operating within a bank holding company, banking organization, or other complex financial-services enterprise preferred.
• Prior people-management and departmental leadership experience required.

Ohter Qualifications

  • Extensive knowledge of FINRA rules, SEC regulations, the Investment Advisers Act of 1940, and applicable state securities laws.
  • Strong leadership, analytical, and risk management skills.
  • Ability to interact effectively with regulators, senior management, and Boards of Directors.
  • Excellent written and verbal communication skills in English and Spanish.
  • Ability to work independently and exercise sound judgment in complex regulatory matters.
  • Proficiency in Microsoft Office applications, including Excel, PowerPoint, SharePoint, Word, and Teams.


Certifications
• FINRA Series 7 registration required and must be maintained in good standing.
• FINRA Series 24 registration required and must be maintained in good standing.
• Any additional registrations required based on the firm's activities and the responsibilities assigned to the position must be obtained and maintained, as applicable.
