Responsibilities

Essential Functions and Primary Duties
  • Collaborate with federal tax and advisory teams in buy-side and sell-side transaction tax engagements
  • Perform multi-state tax due diligence to related middle market companies and private equity investors with a focus on nexus, exposure quantification, and audit risk
  • Apply and interpret state and local tax law as it relates to tax due diligence exercises
  • Analyze state income and franchise tax, sales and use tax, property tax, payroll tax, and unclaimed property
  • Write detailed reports to present diligence findings to clients
  • Responsible for engagement management, including preparing and presenting tax findings and concepts
  • Advise clients on how to maximize opportunities and minimize risks related to mergers and acquisitions and provide recommendations in the context of valuation and deal structuring alternatives
  • Develop and propose creative solutions to engagement and transaction risks and effectively manage problem resolution
  • Review and critique project databooks and reports prepared by project team members
  • Perform post-close follow-up work including nexus studies, voluntary disclosures, audit defense, and other SALT planning
  • Advise clients on preparation for exit and help implement remediation strategies ahead of sale
  • Interface with senior executives of clients and target companies
  • Display the ability to manage and prioritize team responsibilities, and proactively consult with Directors and Managing Directors
  • Work on multiple projects of varying size and complexity
  • Play an integral role in developing relationships with current and prospective clients, identify market opportunities and articulate our value proposition


Preferred Qualifications
  • 6+ years of applicable work experience in one of the following: tax compliance and consulting, or other M&A experience
  • Advanced MS Excel skills and strong working knowledge of other MS Office applications, specifically PowerPoint
  • Extensive experience in project management including planning, organizing, coordinating, and managing staff, clients, and/or partners towards the successful completion of a project
  • Demonstrated ability to learn and succeed in a fast-paced and unconventional work environment is essential
  • Strong verbal and written communication skills
  • Experience working in a fast-paced environment and ability to manage multiple projects and deadlines
  • Master's degree in Accounting, Taxation or related field
  • Licensed CPA/equivalent certification
