THE ROLE

JD Power is seeking an organized, detail-oriented Law Clerk to support corporate governance, entity management, compliance, and legal operations across our global business.

This role will initially focus heavily on global entity management and corporate secretarial activities, ensuring our legal entities remain in good standing and corporate records are accurately maintained. Over time, responsibilities are expected to expand to include greater involvement in contract review support, legal operations, and broader legal department activities. As the role evolves, reporting relationships and areas of focus may adjust to align with business needs and team priorities.

The ideal candidate is a proactive self-starter who thrives in a fast-paced environment, manages complex administrative and legal processes with accuracy, and is comfortable supporting a variety of legal and compliance functions.

THE IMPACT

This role plays a key part in maintaining the integrity of JD Power's global corporate records and governance processes while supporting the Legal and Compliance teams in delivering timely, effective service to the business. The position offers exposure to a broad range of corporate, compliance, and commercial legal matters across multiple jurisdictions.

RESPONSIBILITIES

Corporate Governance, Entity Management & Compliance
  • Maintain, organize, and update corporate records and minute books for JD Power entities globally.
  • Prepare, review, coordinate, and file corporate documents and company secretarial filings to maintain good standing across applicable jurisdictions.
  • Draft and maintain corporate resolutions, consents, and governance documentation.
  • Support entity lifecycle activities, including formations, dissolutions, mergers, name changes, restructurings, and related filings.
  • Maintain organizational charts and director, officer, and authorized signatory records.
  • Coordinate with external registered agents, local counsel, and third-party service providers on entity management matters.
  • Support corporate compliance activities, including coordinating requests, maintaining records, and assisting with policy administration.
  • Assist with regulatory and due diligence requests, including KYC, UBO, and corporate information requests.
  • Support special projects related to corporate governance, compliance, and legal operations.

Legal Operations & Contract Support
  • Conduct preliminary reviews of designated contract types and identify key legal and business considerations for counsel review.
  • Draft initial contract comments and responses under the guidance of in-house counsel.
  • Assist with the management of legal intake requests and shared legal inboxes, ensuring matters are routed appropriately.
  • Track, organize, and maintain legal department records, workflows, and documentation.
  • Provide administrative and operational support to the Legal Department.
  • Provide backup support for corporate governance and entity management activities as needed.

Additional Responsibilities
  • Identify opportunities to improve processes, increase efficiency, and leverage technology, including AI-enabled tools, within legal and compliance workflows.
  • Perform other duties and special projects as assigned.

QUALIFICATIONS
  • Minimum 3 years of experience as a Corporate Law Clerk, Paralegal, or in a similar legal support role.
  • Diploma or certificate from an accredited Law Clerk or Paralegal program is considered an asset.
  • Experience supporting corporate governance, entity management, and regulatory filings across multiple jurisdictions is strongly preferred.
  • Experience reviewing commercial agreements and supporting contract administration is an asset.
  • Strong organizational and project management skills with exceptional attention to detail.
  • Ability to manage competing priorities and work independently with minimal supervision.
  • Excellent interpersonal and communication skills, with the ability to collaborate effectively across functions and with external partners.
  • High level of professionalism, discretion, and judgment when handling confidential information.
  • Working knowledge of corporate law, corporate governance, and legal documentation.
  • Interest in process improvement and leveraging technology, including AI tools, to improve efficiency.
  • Proficiency with Microsoft Office applications; experience with contract lifecycle management systems, entity management software, or procurement platforms is an asset.


THE TEAM

The JD Power Legal Department is a collaborative, business-focused team supporting corporate, commercial, employment, compliance, and governance matters globally. This role offers the opportunity to gain broad exposure across multiple areas of legal practice while partnering with colleagues across the organization and around the world.

This position has a starting salary range of CAD$75,000 - 90,000. This is the range we reasonably and in good faith expect to pay for the role at the time of posting. An employee's pay within the range is determined by a number of factors, including relevant skills, education, qualifications, experience, performance, business or organizational needs, and geographic location.
