Duties and Essential Functions

  • Prepare, draft, and negotiate transaction documents including purchase agreements, NDAs, letters of intent, and related ancillary agreements.
  • Support M&A due diligence processes, including review of contracts, corporate records, and identification of legal risks.
  • Assist with post-acquisition integration, including legal standardization of processes, templates, and agreements across acquired companies.
  • Prepare and revise contracts for review, approval, and use by the Company and its subsidiaries and affiliates.
  • Draft and respond to demand letters and other non-litigation matters, including matters involving administrative agencies.
  • Advise on legal and business risks related to transactions and ongoing operations.
  • Anticipate and guard against legal risks involving the Company and its subsidiaries and affiliates.
  • Proactively identify and provide suggestions and solutions to processes, workflows, and templates to drive efficiency in the Legal Department and across the organization.
  • Coordinate with external counsel on transaction matters as needed.
  • Assist the General Counsel and Assistant General Counsel with a variety of legal tasks as needed.

Position Type/Expected Hours of Work

This is a full-time, exempt position. Days and hours of work are Monday through Friday. This schedule may change to accommodate the business needs of the company.

Travel

This position is primarily based at the Doral Corporate Office with the option to work remotely from home. Some travel may be required to attend company-sponsored meetings and support transaction activity.

Required Education and Experience

  • Juris Doctor degree and active membership in the Florida Bar.
  • 5 or more years of legal experience focused on transactions (contracts and agreements); litigation experience will not be considered in lieu of transactional experience.
  • Experience with M&A transactions, purchase agreements, and due diligence strongly preferred.
  • Excellent legal writing and communication skills.
  • Superior legal research and analytical ability.
  • Strong drafting and negotiation skills in a transactional context.
  • Excellent time management and organizational skills, with the ability to manage multiple matters simultaneously.
  • Proficient with Microsoft Office (Word, Excel, and PowerPoint).
