Job Description

ABM is seeking an In-House Counsel, Commercial Law, to join its Legal Department. This position may be based in Austin, Texas or Phoenix, Arizona.

The In-House Counsel, Commercial Law, provide legal support across a broad range of commercial matters, including contract drafting and negotiation, dispute resolution, legal risk management, and regulatory compliance. This attorney will work closely with business leaders and cross-functional teams to deliver practical, business-focused legal advice that supports ABM's operational and strategic objectives.

This role is an excellent opportunity for a motivated attorney seeking to build an in-house legal career while gaining exposure to a variety of commercial and corporate matters.

Responsibilities

Essential Functions
  • Draft, review, negotiate, and manage a variety of commercial agreements, including:
  • Master Services Agreements (MSAs)
  • Vendor and supplier contracts
  • Purchase orders
  • Licensing agreements
  • Service agreements
  • Construction-related contracts
  • Manufacturing and procurement agreements
  • Provide legal advice regarding contractual obligations, commercial risks, and business transactions.
  • Partner with business leaders to identify, assess, and mitigate legal and operational risks.
  • Support the management of commercial disputes, claims, collections matters, bankruptcies, and litigation.
  • Assist with outside counsel management and litigation oversight when appropriate.
  • Advise internal stakeholders on corporate policies, procedures, and compliance requirements.
  • Support corporate governance and compliance initiatives across the organization.
  • Collaborate with Human Resources, Operations, Finance, Procurement, and other internal business partners.
  • Manage multiple projects and priorities while delivering timely and high-quality legal support.


Qualifications

Required Qualifications
  • Juris Doctor (JD) degree from an ABA-accredited law school.
  • Active membership in good standing with at least one state bar.
  • Two (2) to Five (5) years of legal experience in commercial law, contracts, corporate law, or related areas, gained in-house, with a law firm, or within a government agency.
  • Experience drafting, reviewing, and negotiating commercial agreements.
  • Strong analytical, problem-solving, and critical-thinking abilities.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple priorities and work effectively in a fast-paced environment.
  • Strong organizational and project management skills.
  • Ability to build relationships and collaborate with business stakeholders at all levels.
  • Sound legal judgment and a practical, business-oriented approach to problem solving.


Preferred Qualifications
  • Prior in-house legal experience.
  • Experience supporting commercial operations within a service-based, facilities management, construction, manufacturing, or B2B environment.
  • Exposure to litigation management, dispute resolution, or regulatory compliance matters.
  • Experience advising on technology, software, SaaS, or data-related agreements.
  • Proficiency in Microsoft 365, including Outlook, Teams, Word, Excel, and SharePoint.
  • Comfort using generative AI tools in a professional setting or a willingness to learn.


Working Environment and Travel Requirements
  • Expected to work in an ABM office for a minimum of three (3) days per week.
  • Occasional travel may be required based on business needs.
