General Counsel

Job Duties:

• Serve as a trusted legal partner to the business, identifying and resolving legal issues, structuring third-party relationships, and helping teams move forward with a clear understanding of risk and tradeoffs.
• Research, interpret, and advise on state regulatory requirements affecting the title insurance and mortgage industries, developing clear, practical guidance in complex or unfamiliar areas.
• Support corporate development, financing, and other strategic transactions as they arise
• Draft, review and negotiate a broad range of commercial agreements, including agreements for both the delivery and procurement of products and services.
• Provide subject matter legal expertise on individual title matters, applying legal judgment to specific facts and circumstances to assess risk and determine practical paths forward.
• Partner with Compliance leadership on matters requiring legal interpretation or judgment, including regulatory interactions and complex risk questions.
• Manage the company's intellectual property portfolio
• Select and manage outside counsel relationships across practice areas
• Mentor and develop internal team members supporting contract review and other legal matters, helping build legal capability across the organization

Required Qualifications:

• J.D. and active bar admission
• Substantial experience advising businesses across commercial, regulatory, and general corporate matters, with a strong working knowledge of residential title and mortgage transactions.
• Experience operating as a broad, hands-on business lawyer in a fast-moving, entrepreneurial environment, with the range and judgment to work across disciplines, navigate unfamiliar questions, and advise the business beyond a narrow legal specialty.
• Demonstrated judgment in assessing risk and navigating ambiguity, with the ability to distinguish material concerns from manageable ones and recommend compliant, practical paths forward.
• Prior experience in a fast paced, high growth or entrepreneurial company
• Strong track record managing outside counsel relationships

Preferred Qualifications:

• Excellent written and verbal communication skills, with the ability to explain complex legal topics to non legal audiences
• Experience in mentoring and developing legal talent
• Experience supporting M&A or financing transactions
• Comfortable working remotely, with sufficient schedule flexibility to maintain meaningful overlap with colleagues located across the country.

An employee's pay position within the base salary range will be based on several factors including, but not limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, shift, travel requirements, sales or revenue-based metrics, any collective bargaining agreements, and business or organizational needs. At Doma, compensation decisions are dependent on the facts and circumstances of each case.

This job is also eligible for the following compensation components: Bonus & Equity

The base salary range for this role is shown below:

$195,000-$240,000 USD
