Job Summary
The Director of Wholesale Compliance oversees and supports compliance with the legal and regulatory requirements applicable to the wholesale banking operations, including commercial lending, commercial banking, and private banking business lines. This role actively engages with bank personnel to facilitate adherence to banking requirements, regulatory expectations, and internal policies pertaining to wholesale credit products and services. The Director serves as a key compliance partner to wholesale banking leadership, ensuring robust compliance controls and risk mitigation across all wholesale banking activities.

Job Responsibilities:

JOB RESPONSIBILITIES
  • Advises wholesale banking executive management on critical compliance issues pertaining to commercial lending, commercial banking, and private banking; proactively participates on or leads select compliance and governance committees related to wholesale operations.
  • Provides substantive and timely policy and procedure revisions to ensure sufficient detail and clarity regarding principle-based oversight and documentation requirements for wholesale banking products and services; addresses regulatory expectations specific to commercial lending and private banking.
  • Maintains, updates/amends, and files all applicable regulatory registrations, licenses, and filings related to wholesale banking operations; assists with required client notices, disclosures, and documents; ensures compliance with applicable banking regulations and regulatory guidance.
  • Maintains and updates risk assessment of compliance policies and procedures that drive monitoring and testing plans specific to wholesale banking.
  • Implements, maintains, and coordinates the periodic risk-based compliance testing program for wholesale banking operations, including calendar, control matrix, testing matrix, and select forensic testing; documents support for such activities in coordination with Bank Enterprise Compliance.
  • Performs compliance oversight, reporting, and remedial actions for breaches and/or errors that have compliance or regulatory impact within wholesale banking; escalates issues to senior management and regulatory bodies as appropriate.
  • Assists with the review and approval of select correspondence, client requests, complaints, and RFPs/RFIs related to wholesale banking products and services; ensures compliance documentation and client communications meet regulatory standards.
  • Prepares monthly and quarterly management/board reporting on wholesale compliance metrics, risk assessments, and regulatory matters; coordinates the required annual compliance assessment for wholesale banking operations.
  • Interfaces with regulatory bodies and staff, manages external and internal regulatory audits specific to wholesale banking, and coordinates requests and responses in a timely and organized manner; provides subject matter expertise on commercial lending and private banking compliance matters.
  • Responsible for talent management functions, including: employment, performance evaluations, staff development/training, disciplinary actions, succession planning, and ensuring all staff comply with compliance requirements.


ADDITIONAL ACCOUNTABILITIES
  • Performs special projects, and additional duties and responsibilities as required.
  • Consistently adheres to regulatory and compliance policies and standards linked to the job as listed and complete required compliance trainings. Accountable to maintain compliance with applicable federal, state and local laws and regulations.

Required Qualifications:
  • Education level required: Undergraduate Degree (4 years or equivalent) Bachelor's degree in business administration, finance or related subject preferred.
  • Minimum experience required: 12+ Years in similar compliance, legal, or regulatory roles within wholesale banking, commercial lending, or investment management operations in the financial services industry.
  • Demonstrated compliance experience within a wholesale banking environment, including commercial lending, commercial banking, and/or private banking operations.


Preferred Qualifications:
  • Certified Compliance and Ethics Professional (CCEP) or equivalent professional designation.
  • Juris Doctor (J.D.) or advanced legal training in banking and financial services law.
  • FINRA Series 7, 24, or 63/65 preferred for enhanced understanding of investment and advisory products.


Job Competencies:
  • Advanced knowledge of banking regulations applicable to wholesale operations, including the Dodd-Frank Act, Gramm-Leach-Bliley Act, OCC regulations, and Federal Reserve requirements; strong understanding of commercial lending compliance requirements.
  • Compliance program expertise: Ability to research, design, and implement comprehensive compliance programs and controls specific to wholesale banking operations.
  • Strong analytical and problem-solving skills to identify, assess, and mitigate compliance risks; ability to develop effective remediation strategies.

  • Excellent communication skills - strong written and verbal communication abilities; capable of translating complex regulatory requirements into clear, actionable policies and procedures.
  • Ability to comprehend legal and guideline documents, as well as regulatory requirements across multiple jurisdictions and regulatory bodies.
  • Strong Word, Excel, and PowerPoint skills with proficiency in compliance management systems and data analysis tools.
  • Ability to multi-task with high levels of accuracy and attention to detail; strong quality control and documentation standards.
  • Executive presence, leadership qualities, and management responsibility as a prerequisite for this role; proven ability to lead teams and manage direct reports.
  • Strong ethical values and good judgment with ability to identify, escalate, and resolve complex compliance issues.
