Full Job Description
POSITIONSUMMARY

Reporting to the Vice President,Communications,Community Relations and General Counsel, the Director, Legal Servicesprovidesabroadrangeoflegal services to the organization. In this leadership role, the Director, Legal Services willberesponsibleforappropriate riskmanagementregardinglegal issues and for ensuring compliance with all laws and regulations that apply to the organization.

POSITION ACCOUNTABILITIES

  • Provides expert legal support and guidance to corporate, planning, and operational departments, as well as to all levels within the organization, including executives, directors, and managers, on a wide variety of legal matters/issues with a goal of achieving effective decision-making and appropriate risk management while supporting strategic objectives.
  • Workswithinternalstakeholders,externallegalcounsel,andthirdpartiestoreview, negotiateand draft a wide variety of commercial agreements, including leases, licenses, feasibility agreements, project development agreements, procurement documents, and purchase and sale agreements. Provides guidance on implications and courses of action.
  • Oversees Indigenous files, including providing advice on Indigenous consultation, and negotiating and implementing benefit and protocol agreements in collaboration with the Indigenous Affairs department.
  • Prepares various standard-formlegal documents, including commercial agreements, leases, land tenure documents, and contracts. They are also responsible for regularlydeveloping,reviewing, andmaintaining PRPA's precedent agreements
  • Tracks and reviews case law and new or changed legislation and determines their impact on the business.
  • Anticipates andidentifieslegal issues andadvisesthe organization on legal strategies and solutions to mitigate legal risk.
  • Develops and implementsappropriate trainingfor staffregardinglegal issuesimpactingthe organization.
  • Reviews, research, and interprets applicable legislation, case law, and legal writings. Prepares legal opinions asrequired, that may have a significant impact on PRPA and its activities.
  • Advises and drafts documents in respect of corporate governance matters, including by-laws and corporate policies.
  • AssistswiththepreparationofBoardmaterials including the preparation ofsubmissions and presentations for the Board.
  • Accountableforbudgettrackingandforecasting.
  • Assistswith the preparation and monitoring of strategicobjectivesand operational goals.
  • Engageswithandoverseesworkofexternalcounsel.
  • Leads a varietyoflegalmatters,including large development files and litigationmatters.
  • PerformsotherdutiesasassignedbytheVice-President.


Leadership:

  • Develops team members, builds engagement, elevates, and manages direct reports' performancethrough regular one-on-one meetings to provide support, feedback, and guidance to direct reports including communicating team goals, prioritizing tasks, andidentifyingareasfor training and skill development.
  • Providesenterprise-levelleadership by strengthening organizational capability, reinforcing a healthy and inclusive workplace culture, and embedding legal thinking that supports collaboration, accountability, and high performance.
  • Sets clear goals andobjectivesfor team members, evaluates progress against thosegoals.
  • Manages teamwork and time off to ensure business continuity while providing PRPA witha high levelof service


WORKINGCONDITIONS

  • Workspredominatelyinanofficeenvironment.
  • Regular,full-time position (37.5 hoursper week). Regular working hours are Monday to Friday, 8:00 AM to 4:30 PM, with 1 hour lunch break (unpaid), with theoptiontoparticipatein theflex-time program.

The base salary range for this role is $171,286-$214,107. This position is eligible for a performance-based variable incentive targeted at 25% of the base salary.
