Full Job Description
The Role

Reporting to the Managing Director, Investment Structure Management (ISM), the Director will be a senior commercial structuring advisor on complex private investments across Credit, Private Equity, and Real Assets.

You will lead end-to-end structuring for complex, multi-jurisdictional transactions, anticipate downstream implications, and partner with Investment Departments, Finance, Legal, Tax, and Operations to enable effective transaction execution. You will also help advance ISM toward a proactive, advisory-led operating model through technology, institutional knowledge, and continuous improvement.

The Team

Investment Structure Management (ISM) supports the structuring and ongoing management of CPP Investments' private investments, working across investment and Core Services teams to address legal entity, governance, operational, and transaction execution requirements. The team works across Credit, Private Equity, and Real Assets and is evolving its capabilities through structured institutional knowledge, technology, and an increasingly proactive advisory model.

Accountabilities
  • Lead end-to-end structuring and ongoing maintenance of complex new investments, exits, and restructurings across Credit, Private Equity, and Real Assets.
  • Partner with Investment Departments, Finance, Legal, Tax, Operations, and other internal teams to identify and address structuring and operational complexities associated with CPP Investments' legal entity structures.
  • Coordinate the establishment of new legal entities and related legal and governance requirements in partnership with investment and Core Services teams.
  • Own transaction closing processes, anticipate dependencies and downstream implications, determine how workstreams are staffed and sequenced, and drive resolution of structuring issues that could delay closing.
  • Lead ongoing portfolio management of legal entity structures following close, including overseeing the transfer of ongoing operational activities for wholly owned entities to stakeholder teams.
  • Own quarterly reporting to senior management on legal entity compliance and operational risk metrics.
  • Support ISM's technology roadmap, including implementation of AI-enabled tools, and lead or sponsor cross-functional initiatives that strengthen institutional knowledge, transaction execution infrastructure, and ISM's contribution to the One Fund Strategy.


What You Bring
  • Demonstrated commercial judgement and experience structuring and executing complex investment transactions.
  • Experience working across multiple internal disciplines and managing legal entity, governance, operational, and transaction execution considerations.
  • Ability to lead complex workstreams, anticipate dependencies and downstream implications, and drive issues to resolution.
  • Experience managing ongoing portfolio or legal entity requirements and providing senior management reporting on compliance or operational risk.
  • Strong cross-functional collaboration and communication skills, with the ability to operate as a trusted advisor to investment and Core Services professionals.
  • Curiosity about technology and experience or interest in using AI-enabled tools, institutional knowledge systems, and process improvements to strengthen execution.
