Full Job Description
We are seeking an experienced Deputy General Counsel to join our legal team and help lead a broad range of corporate, transactional, commercial, finance, compliance, and operational legal matters across the company's global business.

The Deputy General Counsel will serve as a senior legal advisor to the company and work closely with executive leadership, business teams, and the legal department on strategic transactions, commercial matters, corporate governance, financing activities, and day-to-day legal needs. This role will have a significant focus on mergers and acquisitions, commercial transactions, finance, corporate governance, and general corporate legal work, while also supporting other legal matters as needs arise.

The ideal candidate is a practical, business-minded attorney with at least 10 years of relevant legal experience, including significant experience with M&A, complex commercial transactions, corporate matters, and finance-related work. The successful candidate will be comfortable operating in a fast-paced, global business environment and providing clear, actionable legal guidance on both strategic initiatives and routine legal matters.

The Deputy General Counsel will report to the General Counsel. This is a hybrid role working from Austin, TX.

Insight on your impact:
  • Lead and support M&A, investment, divestiture, joint venture, financing, and other strategic transactions, including transaction structuring, due diligence, negotiation, documentation, closing, and post-closing integration.
  • Draft, review, and negotiate a wide range of complex commercial agreements, including customer agreements, supplier agreements, distribution agreements, services agreements, strategic partnership agreements, NDAs, terms and conditions, purchase and sale documentation, and other business contracts.
  • Advise executive leadership and business teams on legal risks, transaction strategy, deal terms, corporate structure, governance, and commercial risk allocation.
  • Support corporate finance matters, including credit facilities, financing arrangements, intercompany arrangements, guarantees, security documentation, and related corporate approvals.
  • Manage corporate governance matters, including board and shareholder materials, resolutions, consents, minutes, entity management, corporate records, delegations of authority, and internal approval processes.
  • Provide legal support for domestic and international corporate structuring, subsidiary management, entity formations, reorganizations, and related corporate initiatives.
  • Partner with sales, procurement, finance, operations, compliance, tax, and executive teams to support business objectives while managing legal and commercial risk.
  • Advise on legal issues related to global electronics distribution, including supply chain, procurement, sales, logistics, warranties, product issues, international operations, and commercial disputes.
  • Support compliance matters, including trade compliance, sanctions, export controls, anti-corruption, data privacy, internal policies, and risk management initiatives.
  • Manage or assist with disputes, claims, pre-litigation matters, and coordination with outside counsel.
  • Oversee and manage outside counsel on transactional, corporate, financing, compliance, and other matters, including budgets, work product, and strategic direction.
  • Develop and improve legal department processes, contract templates, playbooks, governance practices, and internal training materials.
  • Mentor and support legal department team members, as applicable.
  • Handle additional legal matters and special projects as needed to support the company's evolving business needs.

Your qualifications, your influence:
To be successful in the role, you must possess the following skills
• Juris Doctor degree from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction and in good standing.
• Minimum of 10 years of relevant legal experience.
• Significant experience with mergers and acquisitions, corporate transactions, commercial transactions, and general corporate legal matters.
• Strong background drafting, reviewing, and negotiating complex commercial agreements.
• Experience with finance, lending, credit facilities, capital structure, or related corporate finance matters.
• Prior in-house counsel experience strongly preferred.
• Experience advising executive leadership and cross-functional business teams.
• Experience supporting a company with international operations preferred.
• Experience with distribution, supply chain, technology, electronics, manufacturing, or similar industries is a plus.
• Familiarity with trade compliance, export controls, sanctions, anti-corruption, data privacy, and other global compliance matters is helpful.
• Experience managing outside counsel and coordinating multi-jurisdictional legal matters preferred.
