Full Job Description
Summary:

We are seeking an experienced attorney to serve as Counsel supporting our M&A, operational and commercial activities. As Counsel, you will play a critical role in helping the Partnership achieve its goals and objectives by guiding our internal clients on a wide variety of legal matters and issues they encounter. Your strong analytical, problem-solving and interpersonal skills will be essential in becoming a highly valued and trusted advisor throughout the organization.

Essential Duties and Responsibilities:

1. Legal Guidance: Provide expert legal advice and guidance to our operations and commercial teams on a wide range of legal matters, including interpretation of statutes, regulations and case law, and compliance with applicable laws and regulations.

2. Drafting and Negotiation: Draft, review, negotiate, and finalize complex transactional, financial and commercial agreements. Ensure agreements align with the Partnership's policies, objectives, and risk tolerance.

3. Risk Assessment and Mitigation: Assess legal and commercial risks associated with our commercial activities, and develop strategies to mitigate risks and protect the Partnership's interests while helping our internal clients achieve their business objectives

4. Compliance: Stay current with relevant laws, regulations, and industry standards related to our operational and commercial activities and counsel our clients to ensure compliance with applicable laws and regulations governing M&A activities, antitrust, privacy and data protection, anti-corruption, trade and other legal requirements.

5. Outside Counsel Oversight: Work collaboratively with our outside counsel to oversee activities upon which they are engaged. Act as liaison for our internal clients to ensure our outside counsel understand and are counseling consistent with our overall objectives and risk tolerance.

6. Cross-functional Collaboration: Collaborate with all internal departments to ensure legal counsel and advised approaches align with company-wide goals and objectives.

Requirements:

1. Juris Doctor (J.D.) degree from an accredited law school and active membership in the bar association.

2. Minimum of 3-6 years of experience as an attorney, with a focus on mergers and acquisitions, commercial contracts and general corporate legal matters, either in-house or at a law firm.

3. Strong knowledge of M&A, finance and commercial transactions.

4. Experience in drafting, reviewing, and negotiating a variety of legal instruments, including transactional M&A documents and complex commercial agreements.

5. Sound understanding of the legal and regulatory frameworks and the common law principles applicable to M&A and commercial matters.

6. Excellent communication and negotiation skills, with the ability to interact effectively with internal stakeholders and external vendors.

7. Strong analytical and problem-solving abilities, with a keen attention to detail and the capacity to assess and mitigate legal and commercial risks.

8. Ability to work independently, manage multiple priorities, and meet deadlines in a fast-paced environment.
