Full Job Description
Navan is seeking a detail-oriented and organized paralegal to support our corporate legal team. This role will involve assisting with public company reporting, corporate governance subsidiary administration, corporate transactions, and operational activities. Responsibilities include preparing SEC and other public company filings, managing subsidiary governance and filings, and managing virtual data rooms. . This position requires strong organizational skills and the ability to collaborate effectively with internal and external stakeholders to ensure compliance and accurate reporting.

What You'll Do:
  • Public Company Reporting
    • Assist with SEC and public company reporting, including periodic reports (Form
      10-K and Form 10-Q), current reports (Form 8-K), proxy statements, annual
      meeting of stockholders, and other required SEC filings.
    • Prepare, file and track Section 16 filings, including obtaining applicable EDGAR
      codes, maintaining filing records, and managing related 10b5-1 trading plans.
    • Support compliance with securities laws, including monitoring and tracking
      insider trading policies, SEC reporting requirements, and other relevant
      regulations.
  • Corporate Governance & Subsidiary Administration
    • Assist in drafting, reviewing, and maintaining corporate governance documents,
      including board resolutions, meeting minutes, stockholder consents, corporate
      governance policies and procedures, and support the preparation of board and
      committee meeting materials, D&O questionnaires, and managing the board
      portal.
    • Manage subsidiaries and coordinate corporate governance, corporate reporting
      and other subsidiary management matters, including organizational charts,
      statutory filings, entity formations, business registrations, qualifications,
      dissolutions, and election of directors and officers.
    • Manage U.S. state and local filings, foreign qualifications, business licenses, and
      various business entity documents with governmental agencies.
    • Work closely with other members of the team to fulfill compliance and corporate
      governance requirements.
  • Corporate Transaction Support
    • Assist with due diligence and related support on major corporate transactions
      (public offerings, M&A, financings, etc.), including organizing and maintaining
      virtual data rooms, tracking transaction documentation, and managing closing
      process.
    • Coordinate the collection and organization of necessary corporate documents for
      submission to the SEC and other regulatory bodies.
    • Assist in the preparation of corporate-transaction related documents, including registration statements, prospectuses, and related exhibits.
  • General Operations Support
    • Provide day-to-day paralegal support for corporate legal matters, including
      document drafting, organization, and review.
    • Maintain legal files, databases, and document management systems.
    • Work closely with other members of the team to fulfill compliance and corporate
      governance requirements.
    • Assist General Counsel with scheduling and general administrative tasks.

What We're Looking For:
  • 5+ years of experience in a similar role.
  • Experience supporting public companies and familiarity with SEC regulations, securities
    laws, and complex corporate structures.
  • Strong experience with corporate legal documents and filings, including the preparation
    of board materials, corporate filings, and SEC reports.
  • Bachelor's Degree and paralegal certificate.
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint) and document
    management systems.
  • Experience with Equity Edge, Workiva, Boardvantage, DocuSign, IronClad is a plus but
    not required.
  • Notary public or willingness to become a notary public.
  • High ethical standards and the ability to maintain discretion and confidentiality.
  • Strong problem-solving and critical-thinking abilities.
  • Self-starter, proactive, detail and deadline oriented.

The posted pay range represents the anticipated low and high end of the compensation for this position and is subject to change based on business need. To determine a successful candidate's starting pay, we carefully consider a variety of factors, including primary work location, an evaluation of the candidate's skills and experience, market demands, and internal parity.

For roles with on-target-earnings (OTE), the pay range includes both base salary and target incentive compensation. Target incentive compensation for some roles may include a ramping draw period. Compensation is higher for those who exceed targets. Candidates may receive more information from the recruiter.
