Overview

Join The Legal Department at Colliers Engineering & Design as a Corporate Paralegal and play a pivotal role in supporting the Office of the General Counsel in Holmdel, NJ. This role is ideal for a meticulous legal professional with strong experience managing corporate governance for complex organizations with multiple subsidiaries, affiliates, and related entities. The position will also assist with mergers and acquisitions activities, including transaction support, closing coordination, and post-closing integration documentation.

The successful candidate will play a key role in maintaining the Company's corporate records, supporting entity management and governance activities, coordinating documentation across a diverse organizational structure, and providing legal operational support to the General Counsel's office.

This position requires exceptional organizational skills, sound judgment, diligence, and the ability to work independently while managing multiple priorities in a challenging environment.

Responsibilities

Corporate Governance & Entity Management
  • Maintain corporate records, minute books, organizational charts, and governance documentation for a large family of affiliated entities and subsidiaries.
  • Draft, review, organize, and manage corporate resolutions, consents, certificates, and other governance documents.
  • Coordinate entity formation, maintenance, reorganizations, and other corporate housekeeping activities.
  • Track ownership records, corporate structure changes, shareholder documentation, and related governance matters.
  • Maintain accurate and well-organized electronic and physical corporate records.
  • Assist with the preparation and administration of management services agreements, staffing services agreements, and other internal corporate documents.
  • Support corporate record audits and ensure governance documentation remains current and complete.

Mergers & Acquisitions Support
  • Support acquisitions and strategic transactions from initial diligence through closing and post-closing integration.
  • Assist with the preparation, compilation, execution, and organization of transaction documents.
  • Coordinate signature collection and execution processes.
  • Prepare and maintain closing checklists, closing binders, and transaction records.
  • Track post-closing obligations and assist with integration-related governance activities.
  • Liaise with internal stakeholders and outside counsel to ensure timely completion of transaction deliverables.

Legal Operations & Administrative Support
  • Draft routine legal correspondence, forms, notices, and other legal documents.
  • Manage document execution processes utilizing electronic signature platforms such as DocuSign.
  • Create, edit, organize, and manage documents using Microsoft Office and PDF editing software.
  • Maintain legal department files, databases, trackers, and reporting tools.
  • Provide administrative and project management support to the legal department as needed.
  • Assist with other legal and corporate initiatives as assigned.

Qualifications

  • 5+ years of experience as a corporate paralegal, preferably supporting an in-house legal department or sophisticated corporate practice.
  • Experience in Architecture and Engineering highly preferred.
  • Demonstrated experience managing corporate governance and entity records for organizations with multiple subsidiaries, affiliates, or related entities.
  • Working knowledge of mergers and acquisitions transactions and related documentation.
  • Strong understanding of corporate records, resolutions, organizational structures, and general corporate governance principles.
  • Exceptional organizational skills and meticulous attention to detail.
  • Ability to manage several projects and deadlines simultaneously while maintaining accuracy.
  • Strong written and verbal communication skills, with an ability to interact effectively with executives, legal professionals, and business stakeholders.
  • Initiative-taking and capable of working independently with limited supervision.
  • High degree of professionalism and ability to handle confidential information.
  • Proficiency with:
    • Microsoft Office Suite (Word, Excel, Outlook, PowerPoint).
    • Adobe Acrobat Pro and PDF creation/editing tools.
    • DocuSign or similar electronic signature platforms.
    • Document management and electronic filing systems.
  • Candidates should have a college degree or be qualified in an ABA approved curriculum and, ideally, have passed the Paralegal Advanced Competency Examination.
  • Ability to read, write and understand English for purposes of comprehending written job-related communications and verbal instructions and interactions.


Compensation: $73,150 to $131,010 per year (depending on qualifications)
