Full Job Description
We're Hiring: Corporate Counsel

Location: Torrance, CA
Company: Pelican

What You'll Do:

Bring your litigation experience in-house and become a trusted partner to the business.

Pelican is seeking a Corporate Counsel to join our Legal team and provide practical, business-focused counsel across litigation, employment, commercial contracts, and corporate governance. Reporting to the Senior Vice President of Legal, you'll work directly with leaders across Human Resources, Sales, Procurement, Finance, and other business functions to solve problems, manage risk, and help move the business forward.

This is an excellent opportunity for an attorney with 3+ years of experience and a strong litigation foundation who wants broader exposure to an in-house legal environment. You'll have meaningful ownership of employment and commercial disputes while expanding your experience across contracts, governance, transactions, and day-to-day business counseling.

  • Serve as a trusted legal advisor to business leaders, providing practical guidance across litigation, employment, commercial, governance, and general business matters
  • Take an active role in employment litigation, commercial disputes, contract claims, and pre-litigation matters, from initial assessment through resolution
  • Partner closely with Human Resources on employee relations matters, workplace investigations, demand letters, administrative claims, and employment-related disputes
  • Support litigation strategy, discovery, document preservation, legal research, case assessment, motion practice, and other aspects of active and threatened litigation
  • Manage outside counsel on assigned matters, helping drive case strategy, outcomes, efficiency, and legal spend
  • Draft, review, and negotiate a broad range of commercial agreements, including customer and vendor agreements, MSAs, NDAs, SaaS and technology agreements, purchase agreements, and terms and conditions
  • Partner with Sales, Procurement, Supply Chain, Finance, and other teams to structure agreements that support business objectives while appropriately managing risk
  • Support corporate governance, including corporate records, resolutions, consents, entity management, and Board and committee materials
  • Assist with corporate transactions, organizational changes, and strategic business initiatives
  • Manage contract workflows and help business partners navigate contractual rights, obligations, disputes, and negotiations
  • Translate complex legal issues into clear, actionable recommendations for non-legal stakeholders
  • Develop policies, training, and resources that strengthen legal compliance and help prevent future risk
  • Help modernize Legal operations through improved processes, technology, contract management, and risk-management practices
  • Monitor legal and regulatory developments that may impact the business
  • Perform additional duties as assigned

What We're Looking For:
  • Juris Doctor (JD) from an ABA-accredited law school
  • Active membership in good standing with at least one U.S. state bar
  • 3+ years of relevant legal experience in a law firm, corporate legal department, or combination of both
  • Strong litigation experience, ideally involving employment, commercial, or business disputes
  • Experience with litigation strategy, discovery, legal research, case assessment, motion practice, and litigation documentation
  • Working knowledge of federal and state employment laws and experience with employment-related investigations, claims, disputes, or litigation
  • Experience drafting and negotiating commercial contracts and advising business partners on contractual risk
  • Familiarity with corporate governance, entity management, resolutions, and corporate records
  • Strong legal writing, research, negotiation, and analytical skills
  • Sound business judgment and the ability to balance legal risk with practical business needs
  • Ability to communicate complex legal concepts clearly and confidently to leaders and business partners
